Contractor Key Personnel. The Contractor shall assign a Corporate OASIS SB Program Manager (COPM) and Corporate OASIS SB Contract Manager (COCM) as Contractor Key Personnel to represent the Contractor as primary points-of-contact to resolve issues, perform administrative duties, and other functions that may arise relating to OASIS SB and task orders solicited and awarded under OASIS SB. Additional Key Personnel requirements may be designated by the OCO at the task order level. There is no minimum qualification requirements established for Contractor Key Personnel. Additionally, Contractor Key Personnel do not have to be full-time positions; however, the Contractor Key Personnel are expected to be fully proficient in the performance of their duties. The Contractor shall ensure that the OASIS SB CO has current point-of-contact information for both the COPM and COCM. In the event of a change to Contractor Key Personnel, the Contractor shall notify the OASIS SB CO and provide all Point of Contact information for the new Key Personnel within 5 calendar days of the change. All costs associated with Contractor Key Personnel duties shall be handled in accordance with the Contractor’s standard accounting practices; however, no costs for Contractor Key Personnel may be billed to the OASIS Program Office. Failure of Contractor Key Personnel to effectively and efficiently perform their duties will be construed as conduct detrimental to contract performance and may result in activation of Dormant Status and/or Off-Ramping (See Sections H.16. and H.17.).

Contractor shall not replace or reassign any Contractor Key Personnel unless the JBE consents in advance in writing or such Contractor Key Personnel (i) voluntarily resigns or takes a leave of absence from Contractor, (ii) has his/her employment, professional or other for-hire relationship terminated by Contractor, (iii) fails to perform his or her duties and responsibilities pursuant to this Agreement, or (iv) dies or is unable to work due to his or her disability. If Contractor needs to replace a Contractor Key Personnel for any of the foregoing reasons, Contractor shall (1) notify the JBE promptly, (2) provide resumes for proposed replacement Contractor Key Personnel within two (2) Business Days after so notifying the JBE, and (3) be responsible for all costs and expenses associated with any replacement of any Contractor Key Personnel member (including, without limitation, any costs and expenses associated with training, project orientation or knowledge transfer reasonably required for replacement personnel to provide the applicable Work).

Contractor Key Personnel. (a) The Contractor shall promptly notify the City Manager and CMR prior to making any changes in key personnel. If replacing key personnel, the Contractor shall adhere to the following: (1) The replacement person’s qualifications shall meet or exceed the applicable labor competency level description listed in Section J – Attachment 02 to this Contract. (2) Key personnel positions are defined in individual TOs. (b) All Contractor notifications must provide the name and departure date for the incumbent leaving, a complete resume for the proposed substitute, and any other pertinent information requested by the City Manager. The City Manager shall be provided the opportunity to review and approve or reject the proposed substitution. (c) The City Manager reserves the right at any time to request the removal of key personnel for any reason which could, in the City Manager’s opinion, affect performance under this Contract. If such a request is made by the City Manager, the Contractor shall remove the personnel as directed by the City Manager, and the Contractor shall propose a substitute as provided above. (d) The Contractor shall not remove any key personnel before the key personnel’s position is filled by a substitute approved and authorized by the City Manager; however, if the key personnel is removed pursuant to a request by the City Manager as provided in subparagraph (c) above, the Contractor shall fill such key personnel’s position as soon as possible. (e) This section does not, in any way, abrogate the Contractor’s authority to hire or assign personnel as it sees fit, or its responsibility to fill key personnel positions with qualified personnel.

Contractor Key Personnel. The BPA contractor/CTA Team Lead shall provide a matrix of all key personnel with POC information designated by BPA Level PM and Order Level key project personnel as a condition of BPA establishment. Any changes to the matrix after BPA establishment must be approved by the BPA CO. An administrative modification to the BPA is NOT required for such changes. The changes will become effective upon an E-mail from the BPA CO approving the changes.
Contractor Key Personnel. (a) The Contractor must provide the Contract Compliance Inspector with the names of Key Personnel. (b) The Contractor must dedicate Key Personnel to perform work for the duration of the Contract as provided in Section 1.3.3, Staff, Duties, and Responsibilities. (c) Before assigning a new individual to any Key Personnel position, the Contractor must notify the State of the proposed assignment, introduce the individual to the appropriate State representatives, and provide the State with a resume and any other reasonably requested information. The State must approve or disapprove the assignment, reassignment, or replacement of any Key Personnel. The State may interview the individual before making its decision. If the State disapproves an individual, the State will provide a written explanation outlining the reasons for the rejection. (d) The Contractor may not remove any Key Personnel from their assigned roles without the prior consent of the State. The Contractor's removal of Key Personnel without the prior consent of the State constitutes Unauthorized Removal. Unauthorized Removal does not include replacing Key Personnel for reasons beyond the Contractor's reasonable control, including illness, disability, death, leave of absence, personal emergency circumstances, resignation, or termination for cause. Unauthorized Removal does not include replacing Key Personnel because of promotions or other job movements allowed by the Contractor's personnel policies or Collective Bargaining Agreement(s), as long as the Contractor assigns the proposed replacement to train the outgoing Key Personnel for 30 days. Any Unauthorized Removal will be considered a material breach of the Contract. (e) The Contractor must notify the Contract Compliance Inspector and the Contract Administrator at least 10 Days before redeploying non-Key Personnel to other projects.
Contractor Key Personnel. 17.1 Contractor shall designate, prior to the commencement of the Work, "Key Personnel" who shall include: an individual to whom all Owner communications concerning the Contract may be addressed (the "Contractor Representative" or other title); and "Project Manager" (or other title), who shall report to the Contractor Representative, and shall be in charge of the Work. 17.2 Owner shall have the right to approve and disapprove the assignment and replacement by Contractor of all Key Personnel. Before assigning an individual to any of the positions designated herein, whether as an initial assignment or a subsequent assignment, Contractor shall notify Owner of the proposed assignment, shall introduce the individual to appropriate Owner representatives, and shall provide Owner with a resume of any other information about the individual reasonably requested by Owner. If, after being notified thereof, Owner in good faith objects to the proposed assignment within 15 days, then Contractor agrees to discuss such objections with Owner and attempt to resolve such concerns on a mutually agreeable basis. If the Parties have not been able to resolve Owner's concerns within five days, Contractor shall not assign the individual to that position and shall propose to Owner the assignment of another individual of suitable ability, experience and qualifications. 17.3 Contractor shall employ and utilize all Key Personnel for the positions for which they were approved under this Article 17. Contractor shall not change or otherwise replace any such individuals except due to retirement, death, disability, incapacity or voluntary or involuntary termination of employment. 17.4 Owner shall have the right, without any recourse by Contractor, to direct Contractor to replace employees who Owner judges to be incompetent, careless, unsuitable or otherwise objectionable, or whose continued use is deemed contrary to the best interests of Owner. Before Owner issues a directive to replace an employee, Owner and the Contractor Representative shall discuss Owner’s concerns about the employee. Upon receipt of a directive from Owner to replace an employee, Contractor shall immediately proceed with the replacement unless it can demonstrate that Owner's directive is unreasonable. Owner’s directive shall include the desired replacement date and the reason the employee needs to be replaced.
