Common use of Meetings and Actions of Committees Clause in Contracts

Meetings and Actions of Committees. Meetings and actions of each committee shall be governed by, and held and taken in accordance with, the provisions of the following sections of these By-Laws, with such By-Laws being deemed to refer to the committee and its members in lieu of the Board and its members: (i) Sections 3.7 and 3.9 (to the extent relating to place and time of regular meetings); (ii) Section 3.10 (relating to special meetings); (iii) Sections 3.11 and 3.13 (relating to notice, adjournment and waiver of notice); and

Meetings and actions of each committee committees shall be governed by, and held and taken in accordance with, the provisions of the following sections of these By-Laws, with such By-Laws being deemed to refer to the committee and its members in lieu of the Board and its membersof: (i) Sections 3.7 and 3.9 Section 3.5 (to the extent relating to place and time of regular meetings; meetings by telephone); (ii) Section 3.10 3.6 (relating to special regular meetings); (iii) Sections 3.11 and 3.13 Section 3.7 (relating to special meetings; notice, adjournment and ); (iv) Section 3.9 (board action without a meeting); and (v) Section 7.14 (waiver of notice); and, with such changes in the context of those bylaws as are necessary to substitute the committee and its members for the Board and its members.
