Election of Officers and Term of Office. The President shall be elected from time to time by the Member. Each Officer shall hold office until a successor shall have been duly elected or appointed and shall have qualified or until such Officer’s death, resignation or removal in the manner provided hereinafter.
Election of Officers and Term of Office. In addition to the Chairperson, the Board may appoint other officers of the Company as determined by a majority of the total votes held by the Managers on the Board (each, an “Officer” and collectively, the “Officers”), with powers, authorities and duties as the Board may from time to time determine, by a majority of the total votes held by the Managers on the Board, provided that no Officer may be granted power or authority to take an action which requires the vote of the Managers on the Board unless the delegation of such power or authority is approved by the requisite vote of the Managers on the Board.
