Common use of MEETINGS OF COVERED BONDHOLDERS Clause in Contracts

MEETINGS OF COVERED BONDHOLDERS. 27.1 The provisions of Schedule 1 to the Trust Deed shall govern, inter alia, the convening powers and conduct of meetings of Covered Bondholders and the effect on the Covered Bondholders of resolutions of such meetings and such provisions are incorporated by reference into the Conditions and shall have the effect in the same manner as if it was set out in this Agreement. 27.2 Without prejudice to Clause 27.1, each of the Paying Agents on the request of any holder of Covered Bonds shall issue voting certificates and block voting instructions in accordance with Schedule 1 to the Trust Deed and shall immediately give notice to the Issuer in writing (with a copy to the Security Trustee) of any revocation or amendment of a block voting instruction. Each of the Paying Agents will keep a full and complete record of all voting certificates and block voting instructions issued by it and will, not less than 24 hours before the time appointed for holding a meeting or adjourned meeting, deposit at such place as the Security Trustee shall approve, full particulars of all voting certificates and block voting instructions issued by it in respect of the meeting or adjourned meeting.
