Xxxxxxx Xxxxxx Xxxxxxxx RE: DDA/City Sharing Agreement for Station 65 Property DATE: January 4, 2023 This memorandum summarizes the nature and purpose of the Property comprised Captured Assessed Value Sharing Agreement (the “Agreement”) between the Mount Xxxxxxx DDA and the City of Mount Xxxxxxx. • In 2009, the City approved a Xxxxxxxxxx Plan for the Station 65, LLC Redevelopment Project, (the “Station 65 Xxxxxxxxxx Plan”) pursuant to which the City of Mount Xxxxxxx Xxxxxxxxxx Redevelopment Authority projected the capture of local operating taxes attributable to the property located at 00 Xxxxxx Xxxxxx located in the foregoing particulars City (the “Station 65 Property”). • In connection with the Station 65 Xxxxxxxxxx Plan, the Xxxxxxxxxx Authority entered into a Reimbursement Agreement with Station 65, LLC (the “Station 65 Reimbursement Agreement”), pursuant to which it will reimburse Station 65, LLC for certain costs incurred in accordance with the Station 65 Xxxxxxxxxx Plan. • The Station 65 property is located in the DDA district, and therefore subject to capture by the DDA. Under the Xxxxxxxxxx Redevelopment Authority Act, 1996 PA 381, as amended, property taxes already being captured by a downtown development authority are excluded from capture by a Xxxxxxxxxx authority, meaning that is to say absent any other action, the rights, title, interest and benefits tax increment revenues associated with the Station 65 property would not be available to the said Property pursuant Xxxxxxxxxx Authority as contemplated by the Station 65 Xxxxxxxxxx Plan. • The tax increment revenue projections under the Station 65 Xxxxxxxxxx Plan assumed the expiration of the DDA plan in 2021, which would make local operating taxes attributable to the Sale & Purchase Station 65 Property available for capture by the Xxxxxxxxxx Authority. However, the DDA extended the duration of its a Development and Tax Increment Financing Plan (the “DDA Plan”) through 2041, which extends capture by the DDA beyond the period projected under the Station 65 Xxxxxxxxxx Plan. • To address this issue, the parties can use the provisions in the Recodified Tax Increment Finance Act, 2018 PA 57, which permit the DDA to enter into agreements with the taxing jurisdictions to “share” back with the City a portion of the captured assessed value of the DDA district—essentially foregoing capture of tax increment revenues associated with property identified in the Agreement dated (in this case, the 06th day Station 65 Property). This frees up the related tax increment revenues (approximately $17,000-$20,000 annually), which then automatically become available for capture by the Xxxxxxxxxx Authority under the Station 65 Xxxxxxxxxx Plan to reimburse Station 65, LLC for expenses under the Station 65 Reimbursement Agreement. • Under the proposed Agreement, the sharing will automatically terminate in the year in which all obligations of Februarythe Xxxxxxxxxx Authority under the Station 65 Reimbursement Agreement are satisfied. This is expected to occur in five or six years, 2017 and made between ALPHA ASTRAL REALTY SDN BHD (The Vendor) and ANG WILLY (The Purchaser) absolutely assigned depending on what happens with property values.
