Method of valuation of the Contribution. In application of the provisions of Chapter VII of Regulation No. 2014-03 of the Autorité des Normes Comptables (Accounting Standards Authority) relating to the chart of accounts, in so far as the Contribution involves companies under common control, the assets and liabilities contributed by the Contributing Company will be valued at their net book value as of 30 June 2016, it being specified that the assets and liabilities shall be contributed in their condition as at the Completion Date (as defined below). Ledouble, located at 00 xxx x’Xxxxxx, 75008 Paris, represented by Ms Xxxxx Xxxxxx and Xxxxxxxx Xxxxxxx et Associés, located at 00 xxx Xxxxxxx Xxxxx, 75008 Paris, represented by Mr Xxxx-Xxxxxxx Xxxxxxx, have been appointed as contribution appraisers by an ordinance of the Commercial Court of Paris dated 11 July 2016, following a joint application by the Contributing Company and the Beneficiary Company, for the purpose of issuing a report on the procedures of the Contribution as well as a report on the value of the contributions in application of Articles L. 236-10 and L. 225-147 of the Commercial Code.

  • Method of Billing Consultant may submit invoices to the City for approval on a progress basis, but no more often than two times a month. Said invoice shall be based on the total of all Consultant’s services which have been completed to City’s sole satisfaction. City shall pay Consultant’s invoice within forty-five (45) days from the date City receives said invoice. Each invoice shall describe in detail, the services performed, the date of performance, and the associated time for completion. Any additional services approved and performed pursuant to this Agreement shall be designated as “Additional Services” and shall identify the number of the authorized change order, where applicable, on all invoices.

  • Method of Compensation It is understood by the parties that, insofar as pay is concerned, employees temporarily filling a position in a higher broadband level shall be paid according to the same compensation method as promoted employees pursuant to the Rules of the State Personnel System.

  • Administration of the Contributions 1.1. The Bank shall be responsible only for performing those functions specifically set forth in this Agreement and shall not be subject to any other duties or responsibilities to the Donors, including, without limitation, any duties or obligations that might otherwise apply to a fiduciary or trustee under general principles of trust or fiduciary law.   • METHOD OF BILLING AND PAYMENT (a) For lump sum contracts, the Consultant may submit bills to the County at the completion and approval of each task or at the partial completion of a task on a pro-rata basis. However, requests for payment shall not be made more frequently than once a month. The Consultant shall submit such monthly statements identifying the nature of the work performed. Calculations shall be made monthly of the amount and value of the work accomplished and services performed by the Consultant which meet the standards of quality established under this Agreement.
