Minimum Benefit Requirement for Top Heavy Plan. (1) Minimum Allocations Required for Top Heavy Plan Years: Notwithstanding the foregoing, for any Top Heavy Plan Year, the sum of the Company contributions and Forfeitures allocated to the accounts of each Non-Key Employee shall be equal to at least three percent (3%) of such Non-Key Employee's 416 Compensation. However, if (i) the sum of the Company contributions and Forfeitures allocated to the accounts of each Key Employee for such Top Heavy Plan Year is less than three percent (3%) of each Key Employee's 416 Compensation and (ii) this Plan is not required to be included in an Aggregation Group to enable a defined benefit plan to meet the requirements of Code section 401(a)(4) or 410, the sum of the Company contributions and Forfeitures allocated to the accounts of each Non-Key Employee shall be equal to the largest percentage allocated to the accounts of each Key Employee. Except, however, no such minimum allocation shall be required in this Plan for any Non-Key Employee who participates in another defined contribution plan subject to Code Section 412 included with this Plan in a Required Aggregation Group.

  • Minimum Benefits If the Termination Date occurs during the Employment Period for any reason, Executive shall be entitled to the Minimum Benefits, in addition to any other benefits to which Executive may be entitled under the following provisions of this Section 4 or the express terms of any employee benefit plan or as required by law. Any benefits to be provided to Executive pursuant to this Section 4(a) shall be provided within 30 days after the Termination Date; provided, however, that any benefits, incentives or awards payable as described in Section 4(f) shall be provided in accordance with the terms of the applicable plan, program or arrangement. Except as may expressly be provided to the contrary in this Agreement, nothing in this Agreement shall be construed as requiring Executive to be treated as employed by the Company or any Affiliate following the Termination Date for purposes of any plan, program, or arrangement.
