Common use of Minimum Clause in Contracts

Minimum. The minimum payment to be paid each full Calendar Year during the Term by Synergy to Knight in respect of Retail Sales pursuant to Sections 2.3.2 and 4.1(iii) shall be no less than $25,000 in the aggregate. Synergy shall, by no later than January 31 of the Calendar Year immediately following, make such payment (if any) as is required to meet such requirement. If the Agreement is terminated other than at the end of a Calendar Year, such minimum payment shall be pro-rated.
