Minority Interests and Publicly Traded Organizations. Any transfers of (i) Minority Interests in the Borrower or a Borrower Control Party, provided that upon completion of each such transfer all of the Transfer Conditions have been satisfied; or (ii) transfers of securities of a corporation or other organization or entity whose common stock is traded on a nationally or internationally recognized public securities exchange, provided that upon completion of each such transfer all of the Transfer Conditions (excepting subsections (i), (v) and (vi)) have been satisfied.

Minority Interests and Publicly Traded Organizations. Any transfers of (i) Minority Interests in the Borrower or in a Borrower Control Party, provided that upon completion of each such transfer all of the Transfer Conditions have been satisfied (or waived by Lender); or (ii) transfers of securities of a corporation or other organization or entity whose common stock is traded on a nationally or internationally recognized public securities exchange provided that upon completion of each such transfer all of the Transfer Conditions have been satisfied (or waived by Lender). Notwithstanding the foregoing or anything to the contrary contained in this Agreement, neither the consent of Lender nor notice to Lender shall be required in connection with the listing or issuance (or trading or pledging) of any share or stock or any sale or transfer by a shareholder of any shares of Key Principal(s) or any other corporation or real estate investment trust the shares of which are publicly traded on the New York Stock Exchange or any other nationally or internationally recognized securities exchange or quoted on a nationally or internationally recognized automated quotation system, including, without limitation, NASDAQ, nor shall any such listing, sale, transfer or issuance (or trading or pledging) of stock constitute a Disposition prohibited by this Agreement or the other Loan Documents provided that after such sale, transfer or issuance of stock or units in Key Principal(s) or such other publicly traded real estate investment trust or corporation, such entity continues to be publicly traded on the New York Stock Exchange or any other nationally or internationally recognized securities exchange or quoted on a nationally or internationally recognized automated quotation system. Borrower shall not be liable for the payment of any fee or premium to Lender in connection with any Permitted Disposition pursuant to this Section 7.2(a).
