Minutes Book. The records of meetings and other corporate actions of COMPANY (including any committees of the Board), which are contained in the Minute Books of COMPANY contain complete and accurate records of the matters reflected in such minutes.
Minutes Book. The minutes books of each Group Company, which have been made available to the Purchaser, contain a complete summary of all meetings and actions taken by directors and shareholders or owners of such Group Company since its time of formation, and reflect all transactions referred to in such minutes accurately in all material respects.

Minutes Book. The records of meetings and other corporate actions of NRC (including any committees of the Board) which are contained in the Minute books of NRC contain complete and accurate records of the matters reflected in such minutes.
Minutes Book. The record of meetings and other corporate actions of Shareholder and the Board of Directors (including any committees of the Board) of SCOR which are contained in the Minute Books of SCOR contain complete and accurate records of the matters reflected in such minutes.
Minutes Book. The book in which the record of the proceedings of a meeting is kept is known as the minutes book. Separate minute‟s books are required to be kept for shareholders general meetings of the company and directors meeting and usually there are also separate minute‟s books for committee meetings of the Board of Directors.
Minutes Book. The Company will keep a book or books with the minutes containing, at least, all the agreements entered into by the bodies of the Company, with mention of the relative information related to the notice for the meetings and the establishment of the various bodies, a summary of the topics discussed, the interventions from which certification has been requested, the adopted agreements and the voting results. Any partner or individuals that attended a General Board meeting in representation of the absent partners can obtain at any time certification of the agreements and the minutes of the General Board meetings.
