Common use of Minutes Clause in Contracts

Minutes. Minutes of all resolutions and proceedings at every meeting as aforesaid shall be made and duly entered in books to be from time to time provided for that purpose by the Debenture Trustee at the expense of the Trust, and any such minutes as aforesaid, if signed by the chairman of the meeting at which such resolutions were passed or proceedings had, or by the chairman of the next succeeding meeting of the Debentureholders, shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting, in respect of the proceedings of which minutes shall have been made, shall be deemed to have been duly held and convened, and all resolutions passed thereat or proceedings taken thereat to have been duly passed and taken.

Minutes. Minutes of all resolutions and proceedings at every meeting as aforesaid of Receiptholders shall be made and duly entered in books to be provided from time to time provided for that purpose by the Debenture Trustee Escrow Agent at the expense of the Trust, and any such minutes as aforesaid, if signed by the chairman or the secretary of the meeting at which such resolutions were passed or proceedings had, had or by the chairman or secretary of the next succeeding meeting of the Debentureholders, held shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting, meeting in respect of the proceedings of which minutes shall have been made, made shall be deemed to have been duly held convened and convenedheld, and all resolutions passed thereat or proceedings taken thereat shall be deemed to have been duly passed and taken.

Minutes. Minutes of all resolutions and proceedings at every such meeting as aforesaid shall be made and duly entered in books to be from time to time provided for that purpose by the Debenture Trustee at the expense of the TrustCorporation, and any such minutes as aforesaid, if signed by the chairman of the meeting at which such resolutions were passed or proceedings had, or by the chairman of the next succeeding meeting of the DebentureholdersDebt Security holders, shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting, in respect of the proceedings of which minutes shall have been made, shall be deemed to have been duly held and convened, and all resolutions passed thereat or proceedings taken thereat had, to have been duly passed and takenhad.

Minutes of all resolutions and proceedings at every meeting as aforesaid of Noteholders shall be made and duly entered in books to be from time to time provided for that purpose by the Debenture Trustee at the expense of the TrustCorporation, and any such minutes as aforesaidminutes, if signed by the chairman of the meeting at which such resolutions were passed or proceedings had, or by the chairman of the next succeeding meeting of the DebentureholdersNoteholders, shall be prima facie evidence of the matters therein stated and, until unless the contrary is proved, every such meeting, in respect of the proceedings of which minutes shall have been made, shall be deemed to have been duly held and convened, and all resolutions passed thereat or proceedings taken thereat had shall be deemed to have been duly passed and takenhad.

Minutes. Minutes of all resolutions passed and proceedings taken at every meeting as aforesaid shall be made and duly entered in books to be from time to time provided for that purpose by the Debenture Trustee at the expense of the Trust, Company and any such minutes as aforesaid, if signed by the chairman of the meeting at which such resolutions were passed or proceedings hadtaken, or by the chairman of the next succeeding meeting of the DebentureholdersSpecial Warrantholders, shall be prima facie evidence of the matters therein stated and, and until the contrary is proved, every such meeting, meeting in respect of the proceedings of which minutes shall have been made, made shall be deemed to have been duly held and convened, convened and all resolutions passed thereat or proceedings taken thereat to have been duly passed and taken.

Minutes. Minutes of all resolutions and proceedings at every such meeting as aforesaid shall be made and duly entered in books to be from time to time provided for that purpose by the Debenture Trustee at the expense of the TrustBank, and any such minutes as aforesaid, if signed by the chairman of the meeting at which such resolutions were passed or proceedings had, or by the chairman of the next succeeding meeting of the Debentureholders, shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting, in respect of the proceedings of which minutes shall have been made, shall be deemed to have been duly held and convened, and all resolutions passed thereat or proceedings taken thereat had, to have been duly passed and takenhad.

Minutes. Minutes of all resolutions and proceedings at every meeting as aforesaid of Receiptholders shall be made and duly entered in books to be provided from time to time provided for that purpose by the Debenture Trustee Subscription Receipt Agent at the expense of the TrustCorporation, and any such minutes as aforesaid, if signed by the chairman chairperson or the secretary of the meeting at which such resolutions were passed or proceedings had, had or by the chairman chairperson or secretary of the next succeeding meeting of the Debentureholders, held shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting, meeting in respect of the proceedings of which minutes shall have been made, made shall be deemed to have been duly held convened and convenedheld, and all resolutions passed thereat or proceedings taken thereat shall be deemed to have been duly passed and taken.

Minutes. Minutes of all resolutions and proceedings at every meeting of Subscription Receiptholders as aforesaid shall be made and duly entered in books to be from time to time provided for that purpose by the Debenture Trustee Subscription Receipt Agent at the expense of the Trust, Corporation and any such minutes as aforesaid, if signed by the chairman of the meeting at which such resolutions were passed or proceedings hadheld, or by the chairman of the next succeeding meeting of the DebentureholdersSubscription Receiptholders, shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting, in respect of the proceedings of which minutes shall have been made, shall be deemed to have been duly held convened and convenedheld, and all resolutions passed thereat or proceedings taken thereat taken, to have been duly passed and taken.

Minutes. Minutes of all resolutions and proceedings at every meeting as aforesaid of Holders shall be made and duly entered in books to be from time to time provided for that purpose by the Debenture Trustee at the expense of the TrustCompany, and any such minutes as aforesaid, if signed by the chairman or secretary of the meeting at which such resolutions were passed or proceedings had, or by the chairman or secretary of the next succeeding meeting (if any) of the DebentureholdersHolders, shall be prima facie evidence of the matters therein xxxxxxx stated and, until the contrary is proved, every such meeting, meeting in respect of the proceedings of which minutes shall have been made, made shall be deemed to have been duly held and convened, and all resolutions passed thereat or proceedings taken thereat thereat, to have been duly passed and taken.

Minutes. Minutes of all resolutions and proceedings at every meeting such meeting, as aforesaid aforesaid, shall be made and duly entered in books to be provided from time to time provided for that purpose by the Debenture Indenture Trustee at the expense of the Trust, Trust and any such minutes minutes, as aforesaid, if signed by the chairman of the meeting at which such resolutions were passed or proceedings had, or by the chairman of the next succeeding meeting of the DebentureholdersNoteholders, shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting, meeting in respect of the proceedings of which minutes meetings shall have been made, made shall be deemed to have been duly called and held and convened, and all resolutions passed thereat or proceedings taken thereat had at such meeting to have been duly passed and takenhad.

Minutes. Minutes of all resolutions and proceedings at every meeting as aforesaid of Receiptholders shall be made and duly entered in books to be from time to time provided for that purpose by the Debenture Trustee Receipt Agent at the expense of the TrustCompany, and any such minutes as aforesaidminutes, if signed by the chairman of the meeting at which such resolutions were passed or proceedings had, had or by the chairman of the next succeeding meeting of the DebentureholdersReceiptholders, shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting, in respect of the proceedings of which minutes shall have been made, shall be deemed to have been duly held and convened, convened and all resolutions passed thereat or proceedings taken thereat shall be deemed to have been duly passed and taken.

Minutes of all resolutions and proceedings at every meeting as aforesaid of any applicable Debentureholders shall be made and duly entered in books to be from time to time provided for that purpose by the Debenture Trustee at the expense of the TrustCorporation, and any such minutes as aforesaidminutes, if signed by the chairman chairperson of the meeting at which such resolutions were passed or proceedings had, or by the chairman chairperson of the next succeeding meeting of the applicable Debentureholders, shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting, meeting in respect of the proceedings of which minutes shall have been made, shall be deemed to have been duly held and convened, and all resolutions passed thereat or proceedings taken thereat had, to have been duly passed and takenhad.

Minutes of all resolutions and proceedings at every meeting as aforesaid of Holders shall be made and duly entered in books to be from time to time provided for that purpose by the Debenture Trustee Rights Agent at the expense of the TrustPan American, and any such minutes as aforesaid, if signed by the chairman or secretary of the meeting at which such resolutions were passed or proceedings had, or by the chairman or secretary of the next succeeding meeting (if any) of the DebentureholdersHolders, shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting, meeting in respect of the proceedings of which minutes shall have been made, made shall be deemed to have been duly held and convened, and all resolutions passed thereat or proceedings taken thereat thereat, to have been duly passed and taken.

Minutes of all resolutions and proceedings at every meeting as aforesaid of Receiptholders shall be made and duly entered in books to be provided from time to time provided for that purpose by the Debenture Trustee at the expense of the TrustSubscription Receipt Agent, and any such minutes as aforesaid, if signed by the chairman or the secretary of the meeting at which such resolutions were passed or proceedings had, had or by the chairman or secretary of the next succeeding meeting of the Debentureholders, held shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting, meeting in respect of the proceedings of which minutes shall have been made, made shall be deemed to have been duly held convened and convenedheld, and all resolutions passed thereat or proceedings taken thereat shall be deemed to have been duly passed and taken.

Minutes of all resolutions and proceedings at every meeting as aforesaid shall be made and duly entered in books to be from time to time provided for that purpose by the Debenture Trustee at the expense secretary of the Trustmeeting, and any such minutes as aforesaid, if signed by the chairman of the meeting at which such resolutions were passed or proceedings had, or by the chairman of the next succeeding meeting of the Debentureholders, shall be prima facie evidence of the matters therein stated and, until stated. Until the contrary is proved, every such meeting, in respect of the proceedings of which minutes shall have been made, shall be deemed to have been duly held and convened, and all resolutions passed thereat or proceedings taken thereat to have been duly passed and taken.

Minutes. Minutes of all resolutions and proceedings at every meeting as aforesaid shall be made and duly entered in books to be from time to time provided for that purpose by the Debenture Trustee at the expense of the Trust, and any such minutes as aforesaid, if signed by the chairman of the meeting at which such resolutions were passed or proceedings had, or by the chairman of the next succeeding meeting of the Debentureholders, shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting, in respect of the proceedings of which minutes shall have been made, shall be deemed to have been duly held and convened, and all resolutions passed thereat or proceedings taken thereat to have been duly passed and taken.

Minutes of all resolutions and proceedings at every meeting as aforesaid of Special Warrantholders shall be made and duly entered in books to be from time to time provided for that purpose by the Debenture Trustee Special Warrant Agent at the reasonable expense of the TrustIssuers, and any such minutes as aforesaid, if signed by the chairman of the meeting at which such resolutions were passed or proceedings hadheld, or by the chairman of the next succeeding meeting of the DebentureholdersSpecial Warrantholders, shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting, meeting in respect of the proceedings of which minutes shall have been made, made shall be deemed to have been duly held convened and convenedheld, and all resolutions passed thereat or proceedings taken thereat shall be deemed to have been duly passed and taken.

Minutes of all resolutions and proceedings at every meeting as aforesaid of Receiptholders shall be made and duly entered in books to be provided from time to time provided for that purpose by the Debenture Trustee Subscription Receipt Agent at the expense of the Trust, and any such minutes as aforesaid, if signed by the chairman or the secretary of the meeting at which such resolutions were passed or proceedings had, had or by the chairman or secretary of the next succeeding meeting of the Debentureholders, held shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting, meeting in respect of the proceedings of which minutes shall have been made, made shall be deemed to have been duly held convened and convenedheld, and all resolutions passed thereat or proceedings taken thereat shall be deemed to have been duly passed and taken.

Minutes of all resolutions and proceedings at every meeting as aforesaid of Warrantholders shall be made and duly entered in books to be provided from time to time provided for that purpose by the Debenture Trustee Warrant Agent at the expense of the TrustCorporation, and any such minutes as aforesaid, which shall be available for review by Warrantholders, if signed by the chairman or the secretary of the meeting at which such resolutions were passed or proceedings had, or by the chairman of the next succeeding meeting of the Debentureholders, had shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting, meeting in respect of the proceedings of which minutes shall have been made, made shall be deemed to have been duly held convened and convenedheld, and all resolutions passed thereat or proceedings taken thereat shall be deemed to have been duly passed and taken. The Corporation will be provided with, in a timely manner and at its own expense, copies of any and all resolutions passed at any meeting of the Warrantholders.

Minutes. Minutes of all resolutions and proceedings at every such meeting as aforesaid shall be made and duly entered in books to be from time to time provided for that purpose by the Debenture Issuer Trustee at or the expense of the Trust, Note Trustee and any such minutes as aforesaidminutes, if purporting to be signed by the chairman of the meeting at which such resolutions were passed or proceedings had, transacted or by the chairman of the next succeeding meeting of the Debentureholdersrelevant Class A Noteholders, shall be prima facie conclusive evidence of the matters therein stated and, referred to in the minutes and until the contrary is proved, proved every such meeting, meeting in respect of the proceedings of which minutes shall have been made, made and signed by the chairman shall be deemed to have been duly held and convened, convened and all resolutions passed thereat or proceedings taken transacted thereat to have been duly passed and taken.transacted. Minutes of all resolutions and proceedings at every meeting as aforesaid of Holders shall be made and duly entered in books to be from time to time provided for that purpose by the Debenture Canadian Trustee at the expense of the TrustAura, and any such minutes as aforesaidminutes, if signed by the chairman or secretary of the meeting at which such resolutions were passed or proceedings had, or by the chairman or secretary of the next succeeding meeting (if any) of the DebentureholdersHolders, shall be prima facie evidence of the matters therein in this Indenture stated and, until the contrary is proved, every such meeting, meeting in respect of the proceedings of which minutes shall have been made, made shall be deemed to have been duly held and convened, and all resolutions passed thereat or proceedings taken thereat thereat, to have been duly passed and taken.

Minutes. Minutes of all resolutions and proceedings at every meeting as aforesaid of Noteholders shall be made and duly entered in books to be provided from time to time provided for that purpose by the Debenture Trustee at the expense of the TrustTrustee, and any such minutes as aforesaidminutes, if signed by the chairman Chairman of the meeting at which such resolutions were passed or proceedings had, or by the chairman Chairman of the next succeeding meeting of the DebentureholdersNoteholders, shall be prima facie evidence of the matters therein stated and, until unless the contrary is proved, every such meeting, in respect of the proceedings of which minutes shall have been made, shall be deemed to have been duly held and convened, and all resolutions passed thereat or proceedings taken thereat had shall be deemed to have been duly passed and takenhad. Upon request by the Issuer, the Trustee shall provide the Issuer with access to minutes of meetings of Noteholders.

Minutes. Minutes of all resolutions and proceedings at every meeting as aforesaid of Warrantholders shall be made and duly entered in books to be from time to time provided for that purpose by the Debenture Trustee at the reasonable expense of the TrustCompany, and any such minutes as aforesaid, if signed by the chairman chair of the meeting at which such resolutions were passed or proceedings hadheld, or by the chairman chair of the next succeeding meeting of the DebentureholdersWarrantholders, shall be prima facie PRIMA FACIE evidence of the matters therein stated and, until the contrary is proved, every such meeting, meeting in respect of the proceedings of which minutes shall have been made, made shall be deemed to have been duly held convened and convenedheld, and all resolutions passed thereat or proceedings taken thereat shall be deemed to have been duly passed and taken.

Minutes of all resolutions and proceedings at every meeting as aforesaid of Receiptholders shall be made and duly entered in books to be provided from time to time provided for that purpose by the Debenture Trustee Subscription Receipt Agent at the expense of the TrustCompany, and any such minutes as aforesaid, if signed by the chairman chairperson or the secretary of the meeting at which such resolutions were passed or proceedings had, had or by the chairman chairperson or secretary of the next succeeding meeting of the Debentureholders, held shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting, meeting in respect of the proceedings of which minutes shall have been made, made shall be deemed to have been duly held convened and convenedheld, and all resolutions passed thereat or proceedings taken thereat shall be deemed to have been duly passed and taken.

Minutes. Minutes of all resolutions and proceedings at every meeting as aforesaid shall be made and duly entered in books to be from time to time provided for that purpose by the Debenture Trustee at the expense of the TrustIssuer, and any such minutes as aforesaid, if signed by the chairman of the meeting at which such resolutions were passed or proceedings had, or by the chairman of the next succeeding meeting of the DebentureholdersHolders, shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting, in respect of the proceedings of which minutes shall have been made, shall be deemed to have been duly held and convened, and all resolutions passed thereat or proceedings taken thereat to have been duly passed and taken.

Minutes of all resolutions and proceedings at every meeting as aforesaid of Warrantholders shall be made and duly entered in books to be from time to time provided for that purpose by the Debenture Trustee at the reasonable expense of the TrustCompany, and any such minutes as aforesaid, if signed by the chairman chair of the meeting at which such resolutions were passed or proceedings hadheld, or by the chairman chair of the next succeeding meeting of the DebentureholdersWarrantholders, shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting, meeting in respect of the proceedings of which minutes shall have been made, made shall be deemed to have been duly held convened and convenedheld, and all resolutions passed thereat or proceedings taken thereat shall be deemed to have been duly passed and taken.

Minutes of all resolutions and proceedings at every such meeting as aforesaid shall be made and duly entered in the books to be from time to time provided for that purpose by the Debenture Trustee at the expense of the Trust, and any such minutes as aforesaid, if purporting to be signed by the chairman of the meeting at which such resolutions were passed or proceedings had, transacted or by the chairman of the next succeeding meeting of the Debentureholders, Noteholders shall be prima facie conclusive evidence of the matters therein stated and, contained and until the contrary is proved, proved every such meeting, meeting in respect of the proceedings of which minutes shall have been made, made and signed as aforesaid shall be deemed to have been duly held and convened, convened and all resolutions passed thereat or proceedings taken transacted thereat to have been duly passed and takentransacted.

Minutes. Minutes of all resolutions and proceedings at every meeting as aforesaid shall be made and duly entered in books to be from time to time provided for that purpose by the Debenture Trustee at the expense of the TrustCorporation, and any such minutes as aforesaid, if signed by the chairman of the meeting at which such resolutions were passed or proceedings had, or by the chairman of the next succeeding meeting of the Debentureholders, shall be prima facie evidence of the matters therein xxxxxxx stated and, until the contrary is proved, every such meeting, in respect of the proceedings of which minutes shall have been made, shall be deemed to have been duly held and convened, and all resolutions passed thereat or proceedings taken thereat to have been duly passed and taken.

Minutes of all resolutions and proceedings at every meeting as aforesaid of Debentureholders shall be made and duly entered in books to be from time to time provided for that purpose by the Debenture Trustee Trustees at the expense of the TrustCorporation, and any such minutes as aforesaidminutes, if signed by the chairman of the meeting at which such resolutions were passed or proceedings had, or by the chairman of the next succeeding meeting of the Debentureholders, shall be prima facie evidence of the matters therein stated and, until unless the contrary is proved, every such meeting, in respect of the proceedings of which minutes shall have been made, shall be deemed to have been duly held and convened, and all resolutions passed thereat or proceedings taken thereat had shall be deemed to have been duly passed and takenhad.

Minutes of all resolutions and proceedings at every meeting as aforesaid of Receiptholders shall be made and duly entered in books to be provided from time to time provided for that purpose by the Debenture Trustee Subscription Receipt Agent at the expense of the Trust, and any such minutes as aforesaid, if signed by the chairman chairperson or the secretary of the meeting at which such resolutions were passed or proceedings had, had or by the chairman chairperson or secretary of the next succeeding meeting of the Debentureholders, held shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting, meeting in respect of the proceedings of which minutes shall have been made, made shall be deemed to have been duly held convened and convenedheld, and all resolutions passed thereat or proceedings taken thereat shall be deemed to have been duly passed and taken.

Minutes of all resolutions and proceedings at every meeting of Subscription Receiptholders as aforesaid shall be made and duly entered in books to be from time to time provided for that purpose by the Debenture Trustee Subscription Receipt and Escrow Agent at the expense of the Trust, Corporation and any such minutes as aforesaid, if signed by the chairman of the meeting at which such resolutions were passed or proceedings hadheld, or by the chairman of the next succeeding meeting of the DebentureholdersSubscription Receiptholders, shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting, in respect of the proceedings of which minutes shall have been made, shall be deemed to have been duly held convened and convenedheld, and all resolutions passed thereat or proceedings taken thereat taken, to have been duly passed and taken.

Minutes of all resolutions and proceedings at every meeting as aforesaid of Special Warrantholders shall be made and duly entered in books to be from time to time provided for that purpose by the Debenture Trustee Special Warrant Agent at the reasonable expense of the TrustCorporation, and any such minutes as aforesaid, if signed by the chairman of the meeting at which such resolutions were passed or proceedings hadheld, or by the chairman of the next succeeding meeting of the DebentureholdersSpecial Warrantholders, shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting, meeting in respect of the proceedings of which minutes shall have been made, made shall be deemed to have been duly held convened and convenedheld, and all resolutions passed thereat or proceedings taken thereat shall be deemed to have been duly passed and taken.

Minutes of all resolutions and proceedings at every such meeting as aforesaid shall be made and duly entered in the books to be provided from time to time provided for that purpose by the Debenture Trustee at the expense of the TrustIssuer, and any every such minutes as aforesaid, aforesaid if purporting to be signed by the chairman Chairman of the meeting at which such resolutions were passed or proceedings had, had or by the chairman Chairman of the next succeeding meeting of the Debentureholders, Bondholders shall be prima facie conclusive evidence of the matters therein stated andcontained, and until the contrary is proved, proved every such meeting, meeting in respect of the proceedings of in which minutes shall have been made, signed as aforesaid shall be deemed to have been duly held and convened, and all resolutions passed thereat or proceedings taken thereat to have been duly passed and taken.

Minutes. Minutes of all resolutions and proceedings at every meeting as aforesaid of Holders shall be made and duly entered in books to be from time to time provided for that purpose by the Debenture Trustee Rights Agent at the expense of the TrustSolarBank, and any such minutes as aforesaidminutes, if signed by the chairman or secretary of the meeting at which such resolutions were passed or proceedings had, or by the chairman or secretary of the next succeeding meeting (if any) of the DebentureholdersHolders, shall be prima facie evidence of the matters therein in this Indenture stated and, until the contrary is proved, every such meeting, meeting in respect of the proceedings of which minutes shall have been made, made shall be deemed to have been duly held and convened, and all resolutions passed thereat or proceedings taken thereat thereat, to have been duly passed and taken.

Minutes. Minutes of all resolutions and Extraordinary Resolutions and proceedings at every meeting as aforesaid of Warrantholders shall be made and duly entered in books to be from time to time provided for that purpose by the Debenture Trustee at the expense of the TrustCorporation, and any such minutes as aforesaidminutes, if signed by the chairman of the meeting at which such resolutions or Extraordinary Resolutions were passed or proceedings had, or by the chairman of the next succeeding meeting of the DebentureholdersWarrantholders, shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting, in respect of the proceedings of which minutes shall have been made, shall be deemed to have been duly held called and convenedheld, and all resolutions passed thereat or proceedings taken thereat taken, to have been duly passed and taken.
