Common use of Miscellaneous Agreements and Consents Clause in Contracts

Miscellaneous Agreements and Consents. Subject to the terms and conditions of this Plan of Merger, each of the parties agrees to use all reasonable efforts to take, or cause to be taken, all actions, and to do, or cause to be done, all things necessary, proper, or advisable under ap- plicable laws and regulations to consummate and make effective the transac- tions contemplated by this Plan of Merger. Old Kent and CFSB will use all reasonable efforts to obtain consents of all third parties and governmental bodies necessary or desirable for the consummation of the Merger.
