Modification of the Terms of the Contract. ‌ During the Project Period, should PCORI personnel identify financial, administrative, or programmatic insufficiencies, PCORI may place special conditions on the Contract if corrective actions are required. If special conditions must be imposed, PCORI will notify the Recipient, in writing, of the nature of the special conditions, why they are being imposed, what corrective action the Recipient can take to correct the problem(s), and the timeline for complying. PCORI may also require the withdrawal of PI or other key personnel should PCORI conclude that the PI and/or other key personnel are no longer competent to perform. Should this be the case, PCORI may require that the Recipient select a new PI and/or key personnel. All decisions to modify the terms of a Contract (including withdrawal of PI or other personnel, or other special circumstances or conditions) will be exercised in PCORI’s sole discretion.

The Customer's acceptance of product or processing of documentation on forms furnished by the Contractor for approval or payment shall not constitute acceptance of the proposed modification to terms and conditions.

  • MODIFICATION OF CONTRACT TERMS The terms and conditions set forth in the Contract shall govern all transactions by Authorized User(s) under this Contract. The Contract may only be modified or amended upon mutual written agreement of the Commissioner and Contractor. The Contractor may, however, offer Authorized User(s) more advantageous pricing, payment, or other terms and conditions than those set forth in the Contract. In such event, a copy of such terms shall be furnished to the Authorized User(s) and Commissioner by the Contractor at the time of such offer. No such alteration or modification shall be made by unilaterally affixing such terms to Product upon delivery (including, but not limited to, attachment or inclusion of standard pre-printed order forms, product literature, “shrink wrap” terms accompanying software upon delivery, or other documents) or by incorporating such terms onto order forms, purchase orders or other documents forwarded by the Contractor for payment, notwithstanding Authorized User’s subsequent acceptance of Product, or that Authorized User has subsequently processed such document for approval or payment.

  • DURATION AND MODIFICATION OF AGREEMENT 33:01 This Agreement shall be binding and continue in effect until June 30, 2020, and shall continue automatically thereafter for annual periods of one (1) year each, unless either party notifies the other in writing within the period of three (3) months next preceding the expiration date of this agreement, that it desires to amend or terminate it.
