Monitoring with the Office of Government Commerce. 45.1 The Contractor shall comply with the monitoring arrangements set out in Schedule J including, but not limited to, providing such data and information as the Contractor may be required to produce under the Contract. 45.2 Where requested by the Authority, the Contractor shall supply the Management Information to the Authority and to OGC in the form set out in Schedule J during the Contract Period.

Monitoring with the Office of Government Commerce. 45.1 The Contractor shall comply with the monitoring arrangements set out in Schedule J including, but not limited to, providing such data and information as the Contractor may be required to produce under the Contract. 45.2 Where requested by the Authority, the Contractor shall supply the Management Information to the Authority and to OGC in the form set out in Schedule J during the Contract Period. 45.3 The Contractor agrees that the Authority may provide OGC with information relating to the Services and Goods procured and any payments made under the Contract. 45.4 Upon receipt of the Management Information supplied by the Contractor in response to a request under 45.2 or receipt of information provided by the Authority to OGC under 45.3, the Authority and the Contractor shall consent to OGC: 45.4.1 storing and analysing the Management Information and producing statistics; and 45.4.2 sharing the Management Information or any statistics produced using the Management Information, with any other Contracting Authority. 45.5 In the event that OGC shares the Management Information or information provided under clause 45.3 in accordance with 45.4.2, any Contracting Authority receiving the Management Information shall be informed of the confidential nature of that information and shall be requested not to disclose it to any body who is not a Contracting Authority (unless required by law). 45.6 The Authority may make changes to the Management Information which the Contractor is required to supply and shall give the Contractor at least one (1) Month’s written notice of any changes.   • LOAN OF GOVERNMENT PROPERTY The parties shall enter into a NASA Form 893, Loan of NASA Equipment, for NASA equipment loaned to Partner.

  • Good Standing and Government Compliance Borrower shall maintain its and each of its Subsidiaries’ organizational existence and good standing in the Borrower State, shall maintain qualification and good standing in each other jurisdiction in which the failure to so qualify could reasonably be expected to have a Material Adverse Effect, and shall furnish to Bank the organizational identification number issued to Borrower by the authorities of the jurisdiction in which Borrower is organized, if applicable. Borrower shall meet, and shall cause each Subsidiary to meet, the minimum funding requirements of ERISA with respect to any employee benefit plans subject to ERISA. Borrower shall comply in all material respects with all applicable Environmental Laws, and maintain all material permits, licenses and approvals required thereunder where the failure to do so could reasonably be expected to have a Material Adverse Effect. Borrower shall comply, and shall cause each Subsidiary to comply, with all statutes, laws, ordinances and government rules and regulations to which it is subject, and shall maintain, and shall cause each of its Subsidiaries to maintain, in force all licenses, approvals and agreements, the loss of which or failure to comply with which would reasonably be expected to have a Material Adverse Effect.

  • Obtaining of Governmental Approvals The Company will from time to time take all action which may be necessary to obtain and keep effective any and all permits, consents and approvals of governmental agencies and authorities and securities act filings under United States Federal and state laws (including without limitation a registration statement in respect of the Warrants and Warrant Securities under the Securities Act of 1933, as amended), which may be or become requisite in connection with the issuance, sale, transfer, and delivery of the Warrant Securities issued upon exercise of the Warrants, the issuance, sale, transfer and delivery of the Warrants or upon the expiration of the period during which the Warrants are exercisable.
