Necessary Acts and Further Assurances. The Parties shall, at their own cost and expense, execute and deliver such further documents and instruments and shall take such other actions as may be reasonably required or appropriate to evidence or carry out the intent and purposes of this Agreement.

Buyer shall obtain, and pay any costs to obtain, all consents required for Buyer to enter into and perform its obligations under this Agreement from Buyer’s lenders, landlords and tenants, if any, and those of any other persons with interests in Buyer’s real property upon which Seller’s personal property is located. These consents shall include estoppel certificates which recognize the rights of Seller, Seller’s Financing Parties, and Seller and Seller’s Financing Parties’ assignees and successors under this Agreement.
