Netbooks, Notebooks and Tablets. Customer may purchase Assurant Advanced Protection Pack (“AAPP”), which is a bundle of insurance (Assurant Device Insurance or “ADI”) and service contract (Assurant Device Service and Support or “ADSS”) that provides coverage to protect against loss, theft, physical or liquid damage or mechanical/electrical failure involving Customer’s wireless netbook, notebook and tablet Products. AAPP may not be available for all wireless Products, and is not available for Wi-Fi-only devices. If Customer purchases AAPP (or ADSS separately), the third party program administrator will waive repair fees for Products covered by the service contract at the time of repair or replacement by the third party program administrator. A per claim deductible will apply for approved insurance claims. There is a limit of three insurance claims under ADI in any 12 month period. The insurance and service contract are administered by a third party program administrator and not by Sprint. If Customer selects AAPP coverage, Sprint will charge Customer a monthly insurance premium and service contract fee per covered Customer Line, and Sprint will remit the insurance premium and service contract fee to the third party program administrator on Customer’s behalf. Insurance is not subject to any discounts. Insurance and service contract claims must be submitted directly to the third party program administrator, provided that Customer’s Sprint Account Representative will reasonably assist Customer in the processing of any such claims. Terms of AAPP coverage are available at the point of sale or in subsequent communications. If Customer does not purchase AAPP coverage, Sprint reserves the right to charge a fee for repair to malfunctioning wireless Products, regardless of warranty period, and Customer may not be able to replace lost, stolen or non-repairable wireless Products without incurring costs. Customer may purchase Assurant Device Service and Support separately on a stand-alone basis. Assurant Device Insurance is not available on a stand-alone basis for those Customer Lines with an Alabama, Colorado, Idaho, Indiana, Kansas, Maine, Wisconsin, or Wyoming area code/prefix.

  • Access to Books and Records Subject to Section 8.07, from the date hereof until the Closing Date, the Company shall provide the Purchaser and its authorized representatives (the “Purchaser’s Representatives”) and the Debt Financing Source Related Parties with reasonable access during normal business hours and upon reasonable notice to the offices, properties, senior personnel, books and records of the Company and its Subsidiaries in order for the Purchaser to have the opportunity to make such investigation as it shall reasonably desire of the affairs of the Company and its Subsidiaries; provided that, notwithstanding the foregoing, (a) such access does not unreasonably interfere with the normal operations of the Company or its Subsidiaries, (b) such access shall occur in such a manner as the Company reasonably determines to be appropriate to protect the confidentiality of the transactions contemplated by this Agreement, and (c) nothing herein shall require the Company to provide access to, or to disclose any information to, the Purchaser or any of the Purchaser’s Representatives if such access or disclosure would reasonably be expected to (i) cause significant competitive harm to the Company or its Subsidiaries if the transactions contemplated by this Agreement are not consummated, (ii) waive any legal privilege, or (iii) be in violation of applicable Law (including the HSR Act and other antitrust Laws). The Purchaser acknowledges that the Purchaser is and remains bound by that certain Confidentiality Agreement, dated as of April 21, 2015 (as amended from time to time, the “Confidentiality Agreement”), by and between Purchaser and GTCR LLC (“GTCR”). The information provided pursuant to this Section 7.02 will be used solely for the purpose of effecting the transactions contemplated by this Agreement, and will be governed by all the terms and conditions of the Confidentiality Agreement.

  • Books and Records Maintain proper books of record and account, in which full, true and correct entries in conformity with GAAP consistently applied shall be made of all financial transactions and matters involving the assets and business of the Borrower or such Subsidiary, as the case may be.

  • MANUALS Each product delivered under contract to any Customer must be delivered with at least one (1) copy of a safety and operating manual and any other technical or maintenance manual. The cost of the manual(s) must be included in the price for the Product offered.

In calculating a refund under sections 25 to 29, a private career college may retain the retail cost of books or equipment that the private career college supplied to the student if the student, (a) fails to return the books or equipment to the private career college within 10 days of the student’s withdrawal or expulsion from the program, or

I hereby waive any right that I may have to inspect or approve the finished product and the advertising copy or other matter that may be used in connection therewith or the use to which it may be applied. You agree that we, the Manager and our designees will have no liability due to any blurring, distortion, alteration, optical illusion, or use in composite form that may occur in taking or usage of any picture or in the subsequent processing or publication of the picture. You release us, the Manager, and our designees from all claims of any nature arising in any way from the use of your photograph or photographic image. This release contains the entire agreement on this subject matter.

  • Computer The Contractor shall maintain at its office for its use a computer with, at a minimum, a 1 GHz processor and an internet connection. The Contractor shall maintain individual email accounts for each of its project managers.
