No Additional Rights For the Borrower Hereunder. Except as provided in Section 3.6, if any First Priority Secured Party or Second Priority Secured Party shall enforce its rights or remedies in violation of the terms of this Agreement, the Borrower shall not be entitled to use such violation as a defense to any action by any First Priority Secured Party or Second Priority Secured Party, nor to assert such violation as a counterclaim or basis for set off or recoupment against any First Priority Secured Party or Second Priority Secured Party.

Except as provided in Section 3.09, if any First Lien Secured Party or Second Lien Secured Party shall enforce its rights or remedies in violation of the terms of this Agreement, the Borrower shall not be entitled to use such violation as a defense, to any action by any First Lien Secured Party or Second Lien Secured Party, nor to assert such violation as a counterclaim or basis for set off or recoupment against any First Lien Secured Party or Second Lien Secured Party.

Except as provided in Section 3.4, if the First Lien Agent or any First Lien Lender or Second Lien Agent or any Second Lien Lender enforces its rights or remedies in violation of the terms of this Agreement, neither any Borrower nor any Guarantor shall be entitled to use such violation as a defense to any action by the First Lien Agent or any First Lien Lender or Second Lien Agent or any Second Lien Lender, nor to assert such violation as a counterclaim or basis for set off or recoupment against the First Lien Agent or any First Lien Lender or Second Lien Agent or any Second Lien Lender.
No Additional Rights For the Borrower Hereunder. If any Secured Party shall enforce its rights or remedies in violation of the terms of this Agreement, the Borrower by its acknowledgment and execution of this Agreement, agrees that it shall not use such violation as a defense to an Enforcement by such party under any Secured Document nor assert such violation as counterclaim or basis for setoff or recoupment against such party.
