No Assignment by Xxxxxxx. Grantee shall not, either directly or indirectly, assign, transfer, hypothecate, subcontract or delegate all or any portion of this Agreement or any rights, duties or obligations of Grantee hereunder without the prior written consent of City. This Agreement shall not, nor shall any interest herein, be assignable as to the interest of Grantee involuntarily or by operation of law without the prior written consent of City. A change of ownership or control of Grantee or a sale or transfer of substantially all of the assets of Grantee shall be deemed an assignment for purposes of this Agreement.
No Assignment by Xxxxxxx. The Chargor shall not in any way be entitled to assign or transfer all or any of its rights or obligations under this Deed.
No Assignment by Xxxxxxx. CATERER shall not assign this Agreement or delegate its responsibilities under this Agreement without the prior written consent of the CITY. No assignment or delegation of this Agreement shall relieve CATERER of its obligations under this Agreement. Subject to the terms of the Catering Agreement, the CITY may assign this Agreement to any entity that owns, leases, or otherwise controls Century II and, upon any such assignment and the assumption of this Agreement by the assignee and notice to CATERER of such assignment, the CITY shall be relieved of all further liability and obligation arising under this Agreement from and after the date of such transfer.
