No Brokers Fees; No Commissions. All negotiations relative to this Agreement and the transactions contemplated hereby have been carried on by the Sellers directly with the Buyer without the intervention of any other person or entity acting on behalf of the Sellers in such a manner as to give rise to any claim against the Buyer for a brokerage commission, finder's fee or other similar payment.

All negotiations relative hereto and the transactions contemplated hereby have been carried on by UbiquiTel or any of the Merger Subs directly with the LLC Parties without any act by UbiquiTel or the Merger Subs that would give rise to any claim against the LLC Parties, Xxxxx or their Affiliates for a brokerage commission, finder's fee or other similar payment.

All negotiations relative hereto and the transactions contemplated hereby have been carried on by Sellers directly with Buyer and Merger Sub without any act by Sellers that would give rise to any claim against the Company, Buyer, Merger Sub or their respective Affiliates for a brokerage commission, finder's fee or other similar payment, except for a fee to be paid by the Surviving Corporation to Raymxxx Xxxex xx the Closing and fees to be paid to Raymxxx Xxxex xx the Surviving Corporation after the Closing in connection with the Earnout Payments and any Earnout True-up Payments, as described in Section 1.2(a)(ii).
No Brokers Fees; No Commissions. The Shareholder has engaged Comann & Montague to serve as financial advisor to the Shareholder. The Shareholder shall be solely responsible for the fees and expenses of Comann & Montague and shall not utilize assets of the Company to pay such fees and expenses. As of the date of this Agreement and except for the involvement of Comann & Montague on behalf of the Shareholder, negotiations relative hereto and the transactions contemplated hereby have been carried on by Sellers directly with Buyer without any act by Sellers that would give rise to any claim against the Company, a Subsidiary, Buyer or their respective Affiliates for a brokerage commission, finder's fee or other similar payment.
