No Conflict or Contractual Violation. To the best of Developer’s knowledge, the making of this Agreement and Developer’s obligations hereunder: (i) will not violate any contractual covenants or restrictions (1) between Developer or any third party or (2) affecting the Property; (ii) will not conflict with any of the instruments that create or establish Developer’s authority if Developer is not an individual; (iii) will not conflict with any applicable public or private restrictions; (iv) do not require any consent or approval of any public or private authority that has not already been obtained; and (v) are not threatened with invalidity or unenforceability by any action, proceeding, or investigation, pending or threatened, by or against (1) Developer, without regard to capacity; (2) any person with whom Developer may be jointly or severally liable; or (3) the Property or any part thereof.
