No Conflicts with Other Agreements. The Representative represents and warrants that his obligations under this Agreement do not breach, violate, conflict with or contravene any oral or written understanding or agreement binding on the Representative, including, without limitation, any covenant not to compete.
No Conflicts with Other Agreements. The execution, delivery and performance by each Party of this Agreement will not violate or be in conflict with, result in a breach of or constitute (with or without notice or lapse of time or both) a default under (i) any provision of PriceSmart’s certificate of incorporation or bylaws as they shall be in effect; (ii) any provision of any judgment, decree or order to which PriceSmart is a party or by which it is bound; (iii) any material contract, obligation or commitment to which PriceSmart is a party or by which it is bound; or (iv) any statute, rule or governmental regulation applicable to PriceSmart.
No Conflicts with Other Agreements. In the event that Member has entered into separate agreements with Sigma Designs or other entities, such agreements are not affected by any provisions of this Agreement.
No Conflicts with Other Agreements. Consultant represents and warrants to Carmell that Consultant is able to enter into, and perform under, this Agreement free from any conflicts with other agreements to which Consultant may be subject, including without limitation, any agreements with prior employers or other parties to which Consultant may provide consulting services. If such a conflict arises in the future, Consultant shall immediately notify Carmell, and the parties shall determine the appropriate actions to take to resolve such conflict at that time.
No Conflicts with Other Agreements. Neither the execution and delivery of this Agreement, and the consummation of the transactions contemplated hereby, nor the fulfillment of or compliance with the provisions hereto, materially conflicts with, violates, or breaches any charter, bylaw, or stock provision of GCICC, any of the material terms, conditions, or provisions of any indenture, instrument, or agreement to which GCICC is a party or by which GCICC is bound, any statute, rule or regulation, or any judgment, decree, or order of any court or agency binding on GCICC, or constitutes a default under any of the foregoing which has not been waived or consented to in writing by the appropriate party or parties.
No Conflicts with Other Agreements. The execution, delivery and performance by Bueller's and the Shareholders of this Agreement will not violate or be in conflict with, result in a breach of or constitute (with or without notice or lapse of time or both) a default under (i) any provision of Bueller's' certificate of incorporation, bylaws or other governing documents as they shall be in effect; (ii) any provision of any judgment, decree or order to which Bueller's or any of the Shareholders is a party or by which it is bound; (iii) any material contract, obligation or commitment to which Bueller's or any of the Shareholders is a party or by which it is bound; or (iv) any statute, rule or governmental regulation applicable to Bueller's or any of the Shareholders.
No Conflicts with Other Agreements. The execution, delivery and performance by the Investor and Multimedia of this Agreement and by Multimedia of the Strategic Alliance Agreement and the transactions contemplated hereby and thereby will not violate or be in conflict with, result in a breach of or constitute (with or without notice or lapse of time or both) a default under, any indenture, loan or credit agreement, note agreement, deed of trust, mortgage, security agreement or other agreement, lease, instrument, commitment or arrangement to which the Investor or Multimedia is a party or by which the Investor or Multimedia or any of their respective properties, assets or rights is bound or affected, except for any such violation, conflict, breach or default that would not reasonably be expected, either individually or
No Conflicts with Other Agreements. The execution, delivery and performance by PSC and the Shareholders of the Transaction Documents will not violate or be in conflict with, result in a breach of or constitute (with or without notice or lapse of time or both) a default under (i) any provision of PSC's certificate of incorporation, bylaws or other governing documents as they shall be in effect; (ii) any provision of any judgment, decree or order to which PSC or any of the Shareholders is a party or by which it is bound; (iii) any material contract, obligation or commitment to which PSC or any of the Shareholders is a party or by which it is bound; or (iv) any statute, rule or governmental regulation applicable to PSC or any of the Shareholders.
No Conflicts with Other Agreements. The execution, delivery, and performance of this Agreement and the consummation of the transactions contemplated hereby by Seller do not, and will not, violate any provisions of the Articles of Organization or Company Agreement of the Company or violate any provision of, or cause a default under, or result in the acceleration of any obligation under any agreement, instrument, lease, lien, judgment, statute, law, rule, or regulation to which the Seller or the Albany Business are a party or by which Seller or the Albany Business or the property of Seller or the Albany Business may be bound or affected, or conflict with or result in any breach of any of the terms, conditions, or provisions of, or constitute a default under, or result in the creation of any lien, security interest, charge, or encumbrance upon any of the assets of the Albany Business under any note, indenture, mortgage, lease, agreement, contract, purchase order, or other instrument or document to which the Albany Business is a party or by which it or any of its assets is bound or affected. The execution, delivery, and performance of this Agreement and the consummation of the transactions contemplated hereby by Seller does not, and will not, require the consent or approval of, or filing with, any court or administrative or governmental authority. The Seller has the legal right and power to enter into this Agreement and to carry out the transactions herein contemplated.
No Conflicts with Other Agreements. Neither the execution and delivery Fiber Exchange Agreement 5 of this Agreement, and the consummation of the transactions contemplated hereby, nor the fulfillment of or compliance with the provisions hereto, materially conflicts with, violates, or breaches any partnership agreement provision of AU, any of the material terms, conditions, or provisions of any indenture, instrument, or agreement to which AU is a party or by which AU is bound, any statute, rule or regulation, or any judgment, decree, or order of any court or agency binding on AU, or constitutes a default under any of the foregoing which has not been waived or consented to in writing by the appropriate party or parties.
