No Default or Event of Default; No Material Adverse Effect. No Default or Event of Default shall have occurred and be continuing on, or shall result as a result of the transactions contemplated to occur on, the Closing Date. As of the Closing Date, no development, event or circumstance that has had or could reasonably be expected to have a Material Adverse Effect shall have occurred and be continuing, or shall result as a result of the transactions contemplated to occur on the Closing Date.
No Default or Event of Default; No Material Adverse Effect. No Default or Event of Default has occurred and is continuing or would result from the transactions contemplated by this Amendment or the Amended Credit Agreement. Since December 31, 2016, there has been no Material Adverse Effect.
No Default or Event of Default; No Material Adverse Effect. After giving effect to the Sixteenth Amendment, no Default or Event of Default shall have occurred and be continuing on such Disbursement Date. No Default or Event of Default; No Material Adverse Effect. 3.5.12.1. No Default or Event of Default shall have occurred and be continuing on the Term Conversion Date.
3.5.12.2. As of the Term Conversion Date, no development, event or circumstance that has had or could reasonably be expected to have a Material Adverse Effect shall have occurred after the Sixteenth Amendment Effective Date and be continuing.

(ii) As of the Term Conversion Date, no development, event or circumstance that has had or could reasonably be expected to have a Material Adverse Effect shall have occurred after the Eighth Amendment Effective Date and be continuing.

No Default or Event of Default shall have occurred and be continuing on, or shall result as a result of the transactions contemplated to occur on, such Funding Date or such Release Date. As of such Funding Date or such Release Date, no development, event or circumstance that has had or could reasonably be expected to have a Material Adverse Effect shall have occurred and be continuing, or shall result from the transactions contemplated to occur on such Funding Date.
No Default or Event of Default; No Material Adverse Effect. NoAfter giving effect to the Eighth Amendment and the Fifth Waiver, no Default or Event of Default shall have occurred and be continuing on such Disbursement Date. As of such Disbursement Date, no development, event or circumstance that has had or could reasonably be expected to have a Material Adverse Effect shall have occurred and be continuing.
No Default or Event of Default; No Material Adverse Effect. (i) No Default or Event of Default shall have occurred and be continuing on such Funding Date. (a) (ii)No OpCo Senior Default or OpCo Senior Event of DefaultFourth Amendment Effective Date. The Fourth Amendment Effective Date shall have occurredand be continuing on such Funding Date.
No Default or Event of Default; No Material Adverse Effect. No Default or Event of Default shall have occurred and be continuing on such Disbursement Date. As of such Disbursement Date, no development, event or circumstance that has had or could reasonably be expected to have a Material Adverse Effect shall have occurred and be continuing.
No Default or Event of Default; No Material Adverse Effect. (i) No Default or Event of Default shall have occurred and be continuing on such Funding Date.
(ii) No OpCo Senior Default or OpCo Senior Event of Default shall have occurred and be continuing on such Funding Date.
(iii) As of each Funding Date (other than the Initial Funding Date), since the Initial Funding Date, there shall not have been any event or series of events which has had or could reasonably be expected to have a Material Adverse Effect.
