No Duty of Mitigation. The Executive shall not be required to mitigate the amount of any payment provided for in this Article I by seeking other employment or otherwise.

The Company acknowledges that it would be very difficult and generally impracticable to determine your ability to, or extent to which you may, mitigate any damages or injuries you may incur by reason of the Change in Control. The Company has taken this into account in entering into this Agreement and, accordingly, the Company acknowledges and agrees that you shall have no duty to mitigate any such damages and that you shall be entitled to receive your entire Severance Payment regardless of any income which you may receive from other sources following your termination after any Change in Control.

The Company acknowledges that it would be very difficult and generally impracticable to determine the ability of, or extent to which, Executive could mitigate any lost wages or other damages he may incur by reason of a Severance or Change of Control or other termination of employment. The Company has taken this into account in entering into this Agreement and, accordingly, the Company acknowledges and agrees that Executive shall have no duty to mitigate any such damages and that Executive shall be entitled to receive his entire Severance Benefits regardless of any income which he may receive from other sources following his Severance.
No Duty of Mitigation. The Executive shall have no duty to seek new employment after his employment with the Company terminates or to take any other actions which could reduce the amounts the Company is obligated to pay or reduce the benefits the Company is required to provide under this Agreement.
No Duty of Mitigation. Executive shall not be required to mitigate the amount of any payment of severance benefits if he accepts other compensation for employment with another entity.

The Corporation acknowledges that it would be very difficult and generally impracticable to determine Employee's ability to, or the extent to which Employee may, mitigate any damages or injuries Employee may incur by reason of an involuntary termination without Just Cause or Change of Control. The Corporation has taken this into account in entering into this Agreement and, accordingly, the Corporation acknowledges and agrees that Employee shall have no duty to mitigate any such damages and that Employee shall be entitled to receive Employee's entire Severance Payment (as above determined) and/or compensation regardless of the existence, amount, or source of any income which Employee receive from other sources following Employee's termination after any Change of Control or involuntary termination without Just Cause.

In the event of any termination of Xxxxx’ employment under subsection 10(b), Xxxxx shall be under no obligation to seek other employment and shall be entitled to all payments or benefits required to be made or provided to Xxxxx hereunder, without any duty of mitigation of damages and regardless of any other employment obtained by Xxxxx.
