No Government Authorization Required. No government authorization, consent, approval, license, exemption of or filing or registration with any court or governmental department, commission, board, bureau, agency or instrumentality, domestic or foreign, under any Applicable Laws currently in effect, is or will be necessary for, or in connection with, the transactions contemplated by this Agreement, or for the performance by it of its obligations under this Agreement.
No Government Authorization Required. Except for compliance with the applicable requirements of the HSR Act, no consent, approval, authorization or order of, or qualification with, any court, governmental authority or any third party is required for the execution and delivery by Buyer of the Agreement or the consummation by Buyer of the transactions contemplated by this Agreement.
No Government Authorization Required. No consent, approval, authorization or order of, or qualification with, any court, regulatory authority or other governmental body is required for the consummation by Buyer of the transactions contemplated by this Agreement, except as set forth in the attached Schedule 11.4.
No Government Authorization Required. Except for compliance with the Hart-Scott-Rodino Antitrust Ixxxxxxxxxxx Xxx xf 1976, as amended (the "HSR Act"), and except for any filings or consents required in connection with any permits, licenses or approvals held or utilized by or for the benefit of the Company which are listed in the Disclosure Schedule, no consent, authorization or approval of, or exemption by, or filings with, any governmental, public or self-regulatory body or authority is required in connection with the execution, delivery and performance of this Agreement by Seller.
No Government Authorization Required. Except for (a) compliance with the HSR Act, and (b) those that may be required solely by reason of Sellers' (as opposed to any third party's) participation in the transactions contemplated by this Agreement, and (c) those the failure of which to obtain or make would not reasonably be expected to have a material adverse effect on Buyer's ability to consummate the transactions contemplated by this Agreement, no consent, authorization or approval of, or exemption by, or filings with, any governmental, public or self-regulatory body or authority is required in connection with the execution, delivery and performance by Buyer of the transactions contemplated by this Agreement or the taking of any action contemplated by this Agreement.
No Government Authorization Required. Other than compliance with the Xxxx-Xxxxx-Xxxxxx Antitrust Improvement Act of 1976, as amended ("HSR Act"), and except as set forth in Section 8.5 of the Disclosure Schedule, no consent, approval, authorization or order of, or qualification with, any court, regulatory authority or other governmental body is required for the consummation by the Seaboard Entities of the transactions contemplated by this Agreement or the Ancillary Documents.
No Government Authorization Required. Except as set forth on Schedule 4.3, no consent, authorization or approval of, or exemption by, or filings with, any Governmental Authority is required in connection with the execution, delivery and performance of this Agreement by Seller or LOL.
No Government Authorization Required. Except for as set forth on Schedule 5.3, no consent, authorization or approval of, or exemption by, or filings with, any Governmental Authority is required in connection with the execution, delivery and performance of this Agreement by Buyer or Saputo.
No Government Authorization Required. No consent, approval, authorization, or order of any court or governmental authority is required for the consummation by the Acquiring Funds of the transactions contemplated by the Agreement, except for the registration of the Acquiring Fund's Shares under the Securities Act, or as may otherwise be required under the federal and state securities laws or the rules and regulations thereunder.
No Government Authorization Required. No consent, authorization or approval of, or exemption by, or filings with, any governmental body or authority is required in connection with the execution, delivery and performance by Bumble Bee of the transactions contemplated by this Agreement or the taking of any action contemplated hereby.
