No Government Officials. Seller represents to Buyer that Seller and its Related Parties are not Government Officials. Seller agrees that if Seller or its Related Parties become a Government Official, then Seller will promptly notify Buyer in writing.
No Government Officials. To the Knowledge of Seller, no officer or director of Seller is or since the Look-Back Date has been a foreign or domestic government official or employee or a candidate for any foreign or domestic political office.
No Government Officials. Except as set forth in Section 3.7 of the Disclosure Letter, no Government Official has any legal, financial or beneficial interest in such Seller (if such Seller is not a natural Person) or in any Transaction Document, and none of the owners, key employees, officers, directors or agents of such Seller (if such Seller is not a natural Person) is a Government Official.
No Government Officials. To the Knowledge of Arena, no officer or director of Arena is a foreign or domestic government official or employee or a candidate for any foreign or domestic political office.
No Government Officials. The Partner warrants that it is not a Government Official, and, if applicable, none of its officers, directors, senior managers, partners, owners or principals are Government Officials. The Partner agrees that if it or if any of its officers, directors, senior managers, partners, owners or principals becomes a Government Official, then the Partner will promptly notify Cyberbit thereof in writing. On receipt of a written notice, the parties will consult together to address concerns under the Anti-Bribery Laws and determine whether those concerns can be satisfactorily resolved. If, after consultation, any such concerns cannot be resolved in the good faith and reasonable judgment of Cyberbit, then Cyberbit, on written notice to the Partner, may withdraw from or terminate this Agreement with immediate effect and without liability.
No Government Officials. To the Knowledge of Dynavax, no officer or director of Dynavax is a foreign or domestic government official or employee or a candidate for any foreign or domestic political office.
No Government Officials. Neither the representing party nor, if applicable, any of its shareholders, directors, officers, employees, agents or representatives is a Government Official. If at any time during the term of this Agreement, the representing party or any shareholder, director, officer, employee, agent or representative of the representing party becomes, or proposes to become, a Government Official, the representing party shall immediately notify the other party and the other party shall have the unilateral right, without provision of any compensation whatsoever, to modify or terminate this Agreement as necessary to ensure that any Requirements of Law of the Territory and of the United States of America shall not be violated. No Government Officials. TTI represents that none of its officers, directors, senior managers, partners, owners, or principals are Government Officials, unless disclosed in writing to BIO- key. TTI agrees that if any of its officers, directors, senior managers, partners, owners, or principals becomes a Government Official, then TTI will promptly notify BIO-key in writing. On receipt of a written notice, the Parties will consult together to address concerns under the FCPA and determine whether those concerns can be satisfactorily resolved. If, after consultation, any such concerns cannot be resolved in the good faith and reasonable judgment of BIO-key, then BIO-key, on written notice to TTI, may withdraw from, suspend, or terminate this Agreement.

Provider represents that it is not a Government Official, and, if applicable, none of its officers, directors, senior managers, partners, owners, or principals are Government Officials. Provider agrees that if it or if any of its officers, directors, senior managers, partners, owners, or principals becomes a Government Official, then Provider will promptly notify T-Mobile in writing. On receipt of a written notice, the Parties will consult together to address concerns under the FCPA and determine whether those concerns can be satisfactorily resolved. If, after consultation, any such concerns cannot be resolved in the good faith and reasonable judgment of T-Mobile, then T-Mobile, on written notice to Provider, may withdraw from or terminate this Agreement in accordance with Section 16.13(d) (Termination for Cause) hereof.
