No Governmental Action Liability. Xxxxxxxxx will not be liable for damages arising out of or resulting from the actions or inaction of government agencies, including, but not limited to, permit processing, environmental impact reports, general plans and amendments thereto, zoning matters, annexations or consolidations, use or conditional use permits, and building permits. Client agrees to defend, indemnify and hold harmless Xxxxxxxxx, its agents, officers, directors, employees, contractors, and consultants from any and all such liabilities (including reasonable attorneys’ fees and court costs), other than that caused by the negligent acts, errors or omissions of Xxxxxxxxx, arising out of or resulting from the same.
