No Interference With Higher Priority Users. If Licensee’s Facilities 16 cause impermissible interference with higher priority users as set forth in Section 3.5 17 above or with pre-existing licensees or lessees, Licensee shall take all commercially- 18 reasonable measures necessary to correct and eliminate the interference. If the 19 interference cannot be eliminated within two business days after receiving the City’s 20 written notice of the interference, Licensee shall immediately cease operating Licensee’s 21 Facilities and shall not reactivate operation, except intermittent operation for the purpose 22 of testing, until the interference has been eliminated. If the interference is not eliminated 23 within thirty (30) days after Licensee receives City’s written notice, City may, at its 24 option, terminate this License immediately.

Contractor acknowledges this Agreement may be terminated and payment withheld if this certification is inaccurate.

  • CONFORMANCE WITH CONTRACT No alteration of the terms, conditions, delivery, price, quality, quantities, or specifications of the contract shall be granted without the Department’s Contracts Management Bureau’s prior written consent. Product or services provided that do not conform to the contract terms, conditions, and specifications may be rejected and returned at Contractor’s expense.

  • Compliance with Controlling Law Contractor shall comply with all applicable local, state, and federal laws, regulations, and policies. Contractor’s act or omission in violation of applicable local, state, and federal laws, regulations, and policies is grounds for contract termination. In addition to all other remedies or damages allowed by law, Contractor is liable to City for all damages, including costs for substitute performance, sustained as a result of the violation. In addition, Contractor may be subject to suspension, debarment, or both.
