NO JUDGMENTS, LITIGATION. No judgments are outstanding against the Borrower nor is there now pending or, to the best of the Borrower's knowledge after diligent inquiry, threatened any litigation, contested claim, or governmental proceeding by or against the Borrower except judgments and pending or threatened litigation, contested claims, and governmental proceedings which would not, in the aggregate, have a Material Adverse Effect on the Borrower.
NO JUDGMENTS, LITIGATION. There are no outstanding or unpaid judgments against Borrower. There are no legal, judicial, regulatory, administrative, or arbitration proceedings, investigations, or other claims, actions, suits or proceedings of any nature pending, or, to Borrower’s knowledge and not disclosed in writing to Lender, threatened against or affecting Borrower, and no event has occurred or condition exists, which with the giving of notice, or the passage of time, or both, could give rise to any such claims, actions, suits or proceedings, except claims, actions, suits or proceedings that are fully covered by insurance, or which, if adversely determined, would not have any Material Adverse Effect on the transactions contemplated by this Agreement or the documents executed or delivered pursuant hereto, or upon the business, properties, or condition (financial or otherwise) of Borrower, and would not impair the ability of any Borrower to perform all of its obligations under this Agreement and the other Loan Documents.
NO JUDGMENTS, LITIGATION. No judgments are outstanding against Company nor is there now pending or, to the best of Company’s knowledge after diligent inquiry, threatened any litigation, contested claim, or governmental proceeding by or against Company except judgments and pending or threatened litigation, contested claims and governmental proceedings which would not, in the aggregate, have a Material Adverse Effect on Company.
NO JUDGMENTS, LITIGATION. There is no outstanding judgment, order, writ, injunction, decree or award of any Governmental Authority, or any civil, criminal or administrative action, claim, litigation, arbitration, investigation, hearing or other proceeding of or before any Governmental Authority or arbitrator pending or, to the knowledge of Seller, threatened, against either Seller or any of its Affiliates which questions the validity of any of the transactions contemplated hereby or any action taken or to be taken pursuant to this Agreement or in which it is sought to restrain or prohibit any such transactions or to obtain damages or other relief in connection with this Agreement except in each case, as would not, individually or the aggregate, reasonably be expected to impair or delay the ability of the Seller to consummate the transactions contemplated by, or perform its obligations under, this Agreement.
NO JUDGMENTS, LITIGATION. There are no judgments outstanding and unsatisfied against or otherwise affecting Seller or the Property. Neither Seller nor the Property is involved in any investigation, claim, litigation or any other proceeding before any Authority, whether relating to the transactions contemplated hereby or otherwise and, to Seller’s Knowledge, no such litigation or proceeding is threatened or pending but not yet served.
NO JUDGMENTS, LITIGATION. There are no judgments presently outstanding and unsatisfied against or otherwise affecting Purchaser, and Purchaser is not presently involved in any investigation, claim, litigation or any other proceeding before any Authority, in either case which relate to the transactions contemplated hereby or otherwise would prevent Purchaser from consummating the transactions contemplated by this Agreement.
NO JUDGMENTS, LITIGATION. No judgments are outstanding against the Guarantor nor is there now pending or, to the best of Guarantor's knowledge after diligent inquiry, threatened any litigation, contested claim, or governmental proceeding by or against the Guarantor except judgments and pending or threatened litigation, contested claims and governmental proceedings which would not, in the aggregate, have a Material Adverse Effect on the Guarantor.
NO JUDGMENTS, LITIGATION. Except as disclosed on Schedule 4.4 attached hereto and made a part hereof, no judgments are outstanding against the Borrower nor is there now pending or, to the best of the Borrower's knowledge after diligent inquiry, threatened any litigation, contested claim, or governmental proceeding by or against the Borrower except judgments and pending or threatened litigation, contested claims, and governmental proceedings which would not, in the aggregate, have a Material Adverse Effect on the Borrower.
NO JUDGMENTS, LITIGATION. There is no outstanding judgment, order, writ, injunction, decree or award of any Governmental Authority, or any civil, criminal or administrative action, claim, litigation, arbitration, investigation, hearing or other proceeding of or before any Governmental Authority or arbitrator pending or, to the Knowledge of Sellers, threatened, against Sellers or any of their Affiliates relating to the Business, or the FCC Licenses, or that questions the validity of the transactions contemplated by this Agreement or the Transition Services Agreement or any action taken or required to be taken pursuant to this Agreement or the Transition Services Agreement or in which it is sought to restrain or prohibit such transactions or to obtain damages or other relief in connection with this Agreement or the Transition Services Agreement, other than any civil actions, claims, litigation, arbitrations, investigations, hearings or other proceedings or any group of substantially similar civil actions, claims, litigation, arbitrations, investigations, hearings or other proceedings, which individually or in the aggregate are not reasonably likely to have a Material Adverse Effect on Newco and its Subsidiaries and, to Sellers’ Knowledge, no injunctive or equitable relief is being sought.
NO JUDGMENTS, LITIGATION. Except as set forth on Schedule 4.4, no judgments are outstanding against the Borrower nor is there now pending or, to the best of the Borrower's knowledge, threatened any litigation, contested claim, or governmental proceeding by or against the Borrower.
