No Legal Suits. There are no legal actions, suits, or proceedings pending or, to the knowledge of the Borrower, threatened against the Borrower before any court or administrative agency, which, if determined adversely to the Borrower, would have a material adverse effect on the financial condition or business of the Borrower.
No Legal Suits. Prior to making the Company Loan, the Company shall provide to the Authority an opinion of legal counsel to the Company (which opinion may rely on information provided by a search firm) or other evidence satisfactory to the Authority that there are no legal actions, suits, or proceedings pending in the Circuit Court of Mecklenburg County or, to the knowledge of the Company or its counsel, threatened against the Company before any court or administrative agency, which, if determined adversely to the Company, would have a material adverse effect on the financial condition or business of the Company.
