No Legends. The Shares shall be issued free of legends.
No Legends. (a) The Shares, the Pre-Funded Warrants, the Warrants, the Pre-Funded Warrant Shares and the Warrant Shares shall be issued free of legends.
No Legends. The Shares, Warrants, and Warrant Shares shall be issued free of legends. If all or any portion of a Warrant is exercised at a time when there is an effective registration statement to cover the issuance or resale of the Warrant Shares or if the Warrant is exercised via cashless exercise, the Warrant Shares issued pursuant to any such exercise shall be issued free of all legends. If at any time following the date hereof the Registration Statement (or any subsequent registration statement registering the sale or resale of the Warrant Shares) is not effective or is not otherwise available for the sale or resale of the Warrant Shares, the Company shall immediately notify the holders of the Warrants in writing that such registration statement is not then effective and thereafter shall promptly notify such holders when the registration statement is effective again and available for the sale or resale of the Warrant Shares (it being understood and agreed that the foregoing shall not limit the ability of the Company to issue, or any Purchaser to sell, any of the Warrant Shares in compliance with applicable federal and state securities laws). The Company shall use best efforts to keep a registration statement (including the Registration Statement) registering the issuance or resale of the Warrant Shares effective during the term of the Warrants.

No Legends. The Company and the Investor agree that the Exchange Shares shall be issued in book-entry form without any restrictive legends.
No Legends. Certificates and any other instruments evidencing the Securities shall not bear any restrictive or other legend.
No Legends. The Company and the Investor agree that the Exchange Shares shall be issued in book-entry form, and the Company will use reasonable best efforts to assist with the removal of any restrictive legends.
No Legends. All Purchased Shares will be free from legends when delivered to Buyer.
No Legends. If the Shares or Warrant Shares are issued in certificated form, such certificates shall not contain any legend restricting their transferability by the Purchaser. The Company shall cause its counsel to issue a legal opinion to the Company’s transfer agent if required by the Company’s transfer agent to effect a transfer of any of the Shares or Warrant Shares. The Company shall not give any instructions to its transfer agent which would impair the free transferability of the Shares or Warrant Shares by any Purchaser.(a)
No Legends. After the date on which the Conversion Shares may be sold without registration pursuant to Rule 144, the Company shall issue certificates without any legends or restrictions thereon evidencing any Conversion Shares, and any certificates with legends previously imprinted shall be replaced with certificates without any legends.
