No Litigation or Other Proceedings. There shall be no ---------------------------------- pending or threatened litigation, bankruptcy, insolvency, injunction, order, suit, investigation or claim against or affecting the Company, any of its properties or rights, any of its executive officers or with respect to any of the transactions contemplated by this Agreement, the Investors' Rights Agreement or the Stockholders' Agreement which would be reasonably likely to have an MAE.
No Litigation or Other Proceedings. Except as described on Schedule 5.8 attached hereto, there shall exist no action, suit, investigation, litigation or proceeding pending or, to the best knowledge of the Company, threatened against or affecting any of the Obligors or any of their respective Subsidiaries or any of the property or assets thereof in any court or before any arbitrator or by or before any other Governmental Authority of any kind that (a) either individually or in the aggregate, could reasonably be expected to have a Material Adverse Effect or (b) challenges the legality, validity, binding effect or enforceability of this Agreement or any of the other Note Documents or the consummation of the sale and purchase of the Notes or any of the other transactions contemplated hereby or thereby.
No Litigation or Other Proceedings. No action, proceeding, investigation, regulation or legislation shall have been instituted, threatened or proposed before any court, governmental agency or legislative body to enjoin, restrain, prohibit or obtain substantial damages in respect of, or which is related to, or arises out of, this Agreement or the consummation of the transactions contemplated hereby. No suit, action or other proceeding shall be pending before any court or governmental agency, or threatened against or affecting the Company which, if adversely determined, would have a material adverse effect on the value of the business, assets or property of the Company.

There shall exist no claim, action, suit, investigation, litigation or proceeding pending or, to the best knowledge of the Credit Parties, threatened against or affecting any Credit Party or any of the property or assets thereof in any court or before any arbitrator or by or before any other Governmental Authority that (a) could reasonably be expected to have a Material Adverse Effect or (b) challenges the legality, validity, binding effect or enforceability of the Acquisition Agreement, any Note Document, the issuance and sale of the Notes, or the consummation of any of the other transactions contemplated by the Documents.
No Litigation or Other Proceedings. There shall exist no action, suit, investigation, litigation or proceeding pending or, to the knowledge of the Company, threatened before any Governmental Authority (i) challenging the consummation of the Note Purchase and other Note Purchase Transactions contemplated hereby or by the Note Documents or (ii) seeking to obtain, or having resulted in the entry of, any Governmental Order that (A) would restrain, prohibit or impose materially adverse conditions on any Purchaser's ability to purchase the Senior Secured Notes to be purchased by such Purchaser on the Closing Date, (B) could be reasonably expected to have a Material Adverse Effect, or (C) purports to affect the legality, validity or enforceability of any material provision of this Agreement or any other Note Document.
No Litigation or Other Proceedings. There shall exist no action, suit, investigation, litigation or proceeding pending or, to the knowledge of the Company, threatened before any Governmental Authority (i) challenging the consummation of the transactions contemplated hereby or by the Note Documents or (ii) seeking to obtain, or having resulted in the entry of, any judgment, order or injunction that (A) would restrain, prohibit or impose materially adverse conditions on Purchaser's ability to purchase the Secured Notes to be purchased by Purchaser on the Closing Date, (B) could be reasonably expected to have a Material Adverse Effect (except as set forth on Schedule 5.5), or (C) purports to affect the legality, validity or enforceability of any material provision of this Agreement, any other Note Document, any Related Agreement or the consummation of the transactions contemplated hereby, including, without limitation, the Offering.
No Litigation or Other Proceedings. The Company is not involved in any litigation, arbitration, mediation or any other form of dispute resolution process or administrative or governmental proceedings.

There shall exist no action, suit, investigation, litigation or proceeding pending or threatened before any Governmental Authority (i) challenging the consummation of the transactions contemplated hereby or by the Transaction Documents or (ii) seeking to obtain, or having resulted in the entry of, any judgment, order or injunction that (A) would restrain, prohibit or impose materially adverse conditions on Lenders' ability to make the Term Loans available to the Borrowers on the Closing Date, (B) could be reasonably expected to have a Material Adverse Effect, or (C) purports to affect the legality, validity or enforceability of any material provision of this Agreement, any other Transaction Document, any related agreement or the consummation of the transactions contemplated hereby.

There shall exist no claim, action, suit, investigation, litigation or proceeding pending or, to the best knowledge of the Credit Parties, threatened against or affecting any Credit Party or any of the property or assets thereof in any court or before any arbitrator or by or before any other Governmental Authority that
