No Market in the United States. The Subscriber is aware that no market for the Shares currently exists in the United States, that the Offered Securities are being offered in a transaction not involving a public offering within the United States within the meaning of the U.S. Securities Act, that the Securities have not been and will not be registered under the U.S. Securities Act or the securities laws of any state, and that the Offered Securities may not be offered or sold, directly or indirectly, in the United States without registration under the U.S. Securities Act or compliance with the requirements of an exemption from registration and it acknowledges that the Corporation has no present intention of filing a registration statement under the U.S. Securities Act in respect of any of its securities.
