No Other Commissions. Except as specified herein, the parties represent to each other that they have not used the services of any real estate broker or person who may claim a commission or finder’s fee with respect to this transaction, and each agrees to indemnify, defend and hold the other harmless from broker compensation claims or finder’s fees arising from allegations of an agreement with the indemnifying party.
No Other Commissions. Other than the Agents, there are no persons acting or purporting to act at the request or on behalf of the Company that are entitled to any brokerage or finder’s fee in connection with the transactions contemplated by this Agreement.
No Other Commissions. Except for finder’s fees to be paid by BC Co in connection with the Private Placement (including the issuance of the Finder Warrants), there is no Person acting at the request or on behalf of BC Co that is entitled to any brokerage or finder’s fee or other compensation in connection with the transactions contemplated by this Agreement.
No Other Commissions. The Driver Partner must not without The Company’s prior written consent receive any other commission from or in connection with a use of the System for any purpose.
No Other Commissions. (i) There are no commissions payable by Pubco or Subco.
No Other Commissions. (i) Other than the Finder’s Fee Agreement, there are no commissions payable by MJIC, and there are no persons acting or purporting to act at the request or on behalf of MJIC that are entitled to any brokerage or finder’s fee in connection with the transactions contemplated in connection with this Agreement.
No Other Commissions. Except as expressly set forth in this Agreement, no other commissions shall be due in connection with the Lease or any other agreement by and between Owner and the Prospect, whether arising out of the Lease, any renewal, extension or expansion of the Lease, or any new lease for the same or different premises.
No Other Commissions. Except as disclosed in the Disclosure Package, there are no contracts, agreements or understandings between the Corporation and any person that would give rise to a valid claim against the Corporation or any Underwriter for a brokerage commission, finder’s fee or other like payment in connection with this offering.
No Other Commissions. Other than the Agents, there are no persons acting or purporting to act at the request or on behalf of the Company, that are entitled to any brokerage or finder’s fee in connection with the transactions contemplated by this agreement. No Unlawful Payments No payments or inducements were made or given, directly or indirectly, to any officials (foreign or domestic) by the Company or any of its Subsidiaries, or by any of their officers, directors, employees or Agents, or any associates of any of the foregoing, in connection with any opportunity, agreement, licence, permit, certificate, consent, order, approval, waiver or other authorization related to the business of the Company or any of its Subsidiaries, except for such payments or inducements that were lawful under the laws, rules and regulations of the country in which they were made. Neither the Company nor any of its Subsidiaries has used any corporate funds for any unlawful contribution, gift, entertainment or other unlawful expense relating to political activity, made any direct or indirect unlawful payment to any foreign or domestic government official or employee from corporate funds, or made any other unlawful payment.
No Other Commissions. There is no Person, firm or company acting or purporting to act at the request of Mira who is entitled to any brokerage or finder’s fee in connection with the Offering, the Merger or this Agreement.
