No Other Contact. Buyer shall not contact or correspond with any customer, employee, or other Person associated with the Businesses of the LLCs, without the prior written consent of Seller.
No Other Contact. Purchaser, its Affiliates and its Representatives shall not contact or correspond with any customer, supplier, contractor, vendor, employee or other Person associated with the Company, the Project, the Company Assets, any Seller or any of their respective Affiliates, without the prior written consent of each of the Sellers; provided, however that so long as Purchaser is in compliance with its obligations under Section 8.02(a), such contact or correspondence shall be permitted by Purchaser (x) as a counterparty to any Contract with Company or with respect to the Project, including the Existing Tolling Agreement or the New Tolling Agreement; (y) so long as such contacts have been coordinated in all material respects with the Sellers, in connection with the consummation of the transactions contemplated by this Agreement; or (z) so long as such contacts and correspondence have been coordinated in all material respects with the Sellers; provided further that, nothing in this Section 6.03 shall prohibit Purchaser, its Affiliates or its Representatives from contacting any such customer, supplier, contractor, vendor, employee or other Person in connection with the operation of the business of Purchaser, its Affiliates or its Representatives in the ordinary course of Purchaser’s business as Purchaser’s business is conducted without regard to the transactions contemplated by this Agreement.
No Other Contact. Between the Effective Date and the Closing Date, Purchaser shall not in any way contact or correspond with any customer, employee, or other Person associated with any of the Companies or the Seller regarding the Companies, the Plant or the Existing Contracts, without the prior written consent of Seller.
No Other Contact. During the Interim Period, no Purchaser shall, and each Purchaser shall cause that its Affiliates and its and its Affiliates’ respective representatives do not, contact or correspond with any manager, employee, supplier, contractor, vendor or other Person associated with the Seller, its Affiliates or the Transferring Business with respect to the Transferring Business, except (a) with the prior written consent of the Seller, such consent not to be unreasonably withheld or delayed or (b) in the circumstances set forth in Section 4.3.
No Other Contact. Until Closing, Buyer shall not contact or correspond with any customer, employee, or other Person associated with the businesses of NCPH or either of the NCPH Companies, without the prior written consent of the Seller.
No Other Contact. Prior to the Closing (or the earlier termination of this Agreement), Buyer shall not contact or correspond with any prospective alternative purchaser of the Colstrip 4 Interests or any regulatory body or other Governmental Authority or other Person associated with the Colstrip 4 Interests or the Facility, their business and operations or the transactions contemplated by this Agreement, except (i) with the prior written consent of Seller not to be unreasonably withheld, (ii) with respect to matters that are entirely unrelated to the Colstrip 4 Interests or the Facility, their business and operations or the transactions contemplated by this Agreement, (iii) as are in the public domain, and (iv) as may be required by any Applicable Law or any Governmental Authority.
No Other Contact. Except as otherwise provided for in this Agreement, Purchasers shall not otherwise contact or correspond with any customer, employee, or other Person associated with OPP or the Oleander Station with respect to the Transactions, without the prior written consent of Sellers.
