No Practice of Law. The Funder, its Affiliates and their investment advisers are engaged in an investment business that has as its principal focus assets that are connected to fraud, asset recovery, litigation, arbitration or mediation. The Funder and its Affiliates and their investment advisers are not law firms and are not engaged in the practice of law with respect to the Subject Claim or otherwise. The Claimholder agrees that it shall not rely on the Funder, its Affiliates or their investment advisers for legal or other professional advice. Notwithstanding the foregoing, the Funder may engage affiliated law firms (including Halcyon Law Group, PLLC or Xxxxxx Xxxxxxx Xxxxx & Xxxxxxxxxxx LLP) to provide the Funder with legal advice from time to time relating to the Subject Claim.
No Practice of Law. Gallagher will not be obligated to perform, and the Client will not request performance of, any services which may constitute the unauthorized practice of law. The Client will be solely responsible for obtaining any legal advice, review or opinion as may be necessary to ensure that its own conduct and operations, including the engagement of Gallagher under the scope and terms herein, conform in all respects with applicable State and Federal laws and regulations (including ERISA, the Internal Revenue Code, State and securities laws and implementing regulations) and, to the extent that the Client has foreign operations, any applicable foreign laws and regulations.

No Practice of Law. UWH and its Affiliates and its and their Representatives are not a law firm and do not provide legal advice. No attorney-client relationship is intended, sought, or created by or through the execution of this Agreement. UWH and its Affiliates and its and their Representatives have not provided, nor will provide at any time in the future, legal advice to any Patent Owner regarding or in conjunction with this Agreement or the Claims.
No Practice of Law. LCF, Longford Investment Group III, LLC, Longford Advisors, LLC, and Longford Capital Management, LP and their respective members and partners are not a law firm and do not provide legal advice. No attorney-client relationship is intended, sought, or created by or through the execution of this Agreement. LCF, Longford Investment Group III, LLC, Longford Advisors, LLC, and Longford Capital Management, LP and their respective members and partners have not provided, nor will provide at any time in the future, legal advice to SG or Claim Owner regarding or in conjunction with this Agreement or the Claims.
No Practice of Law. Neither Party is a law firm and neither it nor its Affiliates are engaged in the practice of law or any other professional activity such as accounting. Each Party agrees that it has not relied and will not rely on the other Party or the other Party’s officers, directors employees or affiliates for legal, accounting or other professional advice and represents that it has received independent legal advice in connection with the transactions contemplated hereby. Nothing in this Agreement shall be construed to give rise to or create a fiduciary, lawyer-client, agency or other relationship between the Parties or between either Party and any director, partner, officer, * CERTAIN INFORMATION IN THIS EXHIBIT HAS BEEN OMITTED AND FILED SEPARATELY WITH THE COMMISSION. CONFIDENTIAL TREATMENT HAS BEEN REQUESTED WITH RESPECT TO THE OMITTED PORTIONS. employee or agent of the other Party or between their counsel, notwithstanding that information, observations or opinions may be exchanged between them.
No Practice of Law. The Investors and their Affiliates are engaged in an investment business that, among other things, invests with patent holders to commercialize patents in exchange for a share of the awards of such commercialization. The Investors and their Affiliates are not engaged in the practice of law with respect to the Patent Litigation and Company agrees that it shall not rely upon the Investors and its Affiliates for legal or other professional advice.
