No Prior Assignments. In executing this Agreement, Plaintiff and each Settlement Class Member warrants and represents that he or she has not assigned, sold, transferred or otherwise disposed to any third party any actual or potential claim, any portion of any actual or potential claim, or any other matters that are being released in the Agreement. Plaintiff and each Settlement Class Member agrees to defend, indemnify, and hold harmless Grande from and against any claim (including payment of attorneys’ fees and costs) based on or in connection with or arising out of any such assignment, sale, transfer, or other disposition made, purported or claimed.
