Common use of No Recourse Clause in Contracts

No Recourse. Notwithstanding anything to the contrary in this Agreement, the Company and each Holder agrees and acknowledges that no recourse under this Agreement or any documents or instruments delivered in connection with this Agreement, will be had against any current or future director, officer, employee, general or limited partner or member of any Holder or any Affiliate or assignee thereof, whether by the enforcement of any assessment or by any legal or equitable proceeding, or by virtue of any statute, regulation or other applicable law, it being expressly agreed and acknowledged that no personal liability whatsoever will attach to, be imposed on or otherwise be incurred by any current or future officer, agent or employee of any Holder or any current or future member of any Holder or any current or future director, officer, employee, partner or member of any Holder or of any Affiliate or assignee thereof, as such for any obligation of any Holder under this Agreement or any documents or instruments delivered in connection with this Agreement for any claim based on, in respect of or by reason of such obligations or their creation.

No Recourse. Notwithstanding anything to the contrary in this Agreement, the Company Corporation and each Holder agrees and acknowledges that no recourse under this Agreement or any documents or instruments delivered in connection with this Agreement, will shall be had against any current or future director, officer, employee, general or limited partner or member of any Holder or of any Affiliate or assignee thereof, whether by the enforcement of any assessment or by any legal or equitable proceeding, or by virtue of any statute, regulation or other applicable law, it being expressly agreed and acknowledged that no personal liability whatsoever will shall attach to, be imposed on or otherwise be incurred by any current or future officer, agent or employee of any Holder or any current or future member of any Holder or any current or future director, officer, employee, partner or member of any Holder or of any Affiliate or assignee thereof, as such for any obligation of any Holder under this Agreement or any documents or instruments delivered in connection with this Agreement for any claim based on, in respect of or by reason of such obligations or their creation.

No Recourse. Notwithstanding anything to the contrary that may be expressed or implied in this Agreement, each of the Company and each Holder Acquiror Parties agrees and acknowledges that no recourse under this Agreement or any documents or instruments delivered in connection with this Agreement, will Agreement shall be had against any current or future director, officer, employee, general or limited partner employee or member of any Holder Contributor or of any Affiliate or assignee thereof, as such, whether by the enforcement of any assessment or by any legal or equitable proceeding, or by virtue of any statute, regulation or other applicable lawLaw, it being expressly agreed and acknowledged that no personal liability whatsoever will shall attach to, be imposed on or otherwise be incurred by any current or future officer, agent or employee of any Holder Contributor or any current or future member of any Holder Contributor or any current or future director, officer, employee, partner employee or member of any Holder Contributor or of any Affiliate or assignee thereof, as such such, for any obligation of any Holder Contributor under this Agreement or any documents or instruments delivered in connection with this Agreement for any claim based on, in respect of or by reason of such obligations or their creation.

Notwithstanding anything to the contrary that may be expressed or implied in this Agreement, the Company each Seller, on behalf of itself and each Holder of its Affiliates, agrees and acknowledges that no recourse under this Agreement or any documents or instruments delivered in connection with this Agreement, will Ancillary Agreement shall be had against any current or future director, officer, employee, general or limited partner employee or member of any Holder Buyer or of any Affiliate or assignee thereof, as such, whether by the enforcement of any assessment or by any legal or equitable proceeding, or by virtue of any statute, regulation or other applicable lawLaw, it being expressly agreed and acknowledged that no personal liability whatsoever will shall attach to, be imposed on or otherwise be incurred by any current or future officer, agent or employee of Buyer or any Holder Affiliate or assignee thereof or any current or future member of Buyer or any Holder Affiliate or assignee thereof or any current or future director, officer, employee, partner employee or member of any Holder Buyer or of any Affiliate or assignee thereof, as such such, for any obligation of any Holder Buyer or the Company under this Agreement or any documents or instruments delivered in connection with this Ancillary Agreement for any claim based on, in respect of or by reason of such obligations or their creation.

No Recourse. Notwithstanding anything to the contrary in this Agreement, the Company and each Holder agrees and acknowledges that no recourse under this Agreement or any documents or instruments delivered in connection with this Agreement, will be had against any current or future director, officer, employee, general partner, stockholder, member or limited partner or member other equity owner of any Holder or any Affiliate or assignee thereof, whether by the enforcement of any assessment or by any legal or equitable proceeding, or by virtue of any statute, regulation or other applicable law, it being expressly agreed and acknowledged that no personal liability whatsoever will attach to, be imposed on or otherwise be incurred by any current or future officer, agent or employee of any Holder or any current or future member of any Holder or any current or future director, officer, employee, partner stockholder, member or member other equity owner of any Holder or of any Affiliate or assignee thereof, as such for any obligation of any Holder under this Agreement or any documents or instruments delivered in connection with this Agreement for any claim based on, in respect of or by reason of such obligations or their creation.

No Recourse. Notwithstanding anything to the contrary in this Agreement, the Company and each Holder Stockholder agrees and acknowledges that no recourse under this Agreement or any documents or instruments delivered in connection with this Agreement, will be had against any current or future director, officer, employee, general or limited partner or member of any Holder Stockholder or any Affiliate or assignee thereof, whether by the enforcement of any assessment or by any legal or equitable proceeding, or by virtue of any statute, regulation or other applicable law, it being expressly agreed and acknowledged that no personal liability whatsoever will attach to, be imposed on or otherwise be incurred by any current or future officer, agent or employee of any Holder Stockholder or any current or future member of any Holder Stockholder or any current or future director, officer, employee, partner or member of any Holder Stockholder or of any Affiliate or assignee thereof, as such for any obligation of any Holder Stockholder under this Agreement or any documents or instruments delivered in connection with this Agreement for any claim based on, in respect of or by reason of such obligations or their creation.
