No Rights of First Refusal. Neither the execution of this Agreement nor the sale of the Purchased Units as contemplated by this Agreement gives rise to any rights of first refusal, rights of first offer or similar rights under any agreement to which either Enterprise Party is a party that would entitle any Person to purchase or otherwise acquire any of the Purchased Units or require that an offer to purchase or acquire any of the Purchased Units be made to any Person.
No Rights of First Refusal. There is no right of first refusal, option or other similar right granting any Person the right or option to purchase, lease or obtain any other ownership interest in any of the Assets or Business.
No Rights of First Refusal. The Company is not obligated to offer the securities offered hereunder on a right of first refusal basis or otherwise to any third parties including, but not limited to, current or former shareholders of the Company, underwriters, brokers, agents or other third parties.
No Rights of First Refusal. Other than as disclosed in the WPD Disclosure Letter, neither the authorization, execution and delivery of this Agreement by WPD, nor the completion of the transactions contemplated by this Agreement, nor the performance of WPD’s obligations hereunder, nor compliance by WPD with any of the provisions hereof, will give rise to any rights of first refusal or trigger any change in control provisions or any restrictions or limitations under any note, bond, mortgage, indenture, contract or permit to which WPD is a party, or result in the imposition of any lien upon any of the assets of WPD.
No Rights of First Refusal. There exists no right of first refusal, option or similar right granting to any single Person the right to purchase any material portion of the Assets, taken together as a whole.
No Rights of First Refusal. Except as set forth on Exhibit 7.1.5 or disclosed in other provisions of this Agreement, and except for preferential purchase rights in favor of joint lease owners pursuant to operating agreements related to Oil and Gas Interests, there are no existing options, rights, warrants, commitments, agreements or instruments of any type to which Seller is bound, or to which any Asset is subject, under or pursuant to which any Person shall be given, provided or otherwise afforded the right, option, occasion, possibility or opportunity to purchase any Asset.
No Rights of First Refusal. Except as disclosed in other provisions of this Agreement or contained in the DBL Partnership Agreements, there are no existing options, rights, warrants, commitments, agreements or instruments of any type to which Seller is bound, or to which any Asset is subject, under or pursuant to which any Person shall be given, provided or otherwise afforded the right, option, occasion, possibility or opportunity to purchase any Asset.
No Rights of First Refusal. The Assets are not subject to any Right of First Refusal except as set forth in Schedule “A”.

No Rights of First Refusal. No rights of first refusal will be triggered (i) by the Purchase Transaction which affect any material assets of Meritage, or (ii) by the SemGroup Contribution which affect any material assets of SemCAMS.
