No Third Party to Benefit. (09/17) This Contract is entered into for the benefit of the City and Contractor. Except as set forth herein, nothing in this Contract shall be construed as giving any benefits, rights, remedies or claims to any other person, firm, corporation or other entity, including, without limitation, the general public or any member thereof, or to authorize anyone not a Party to this Contract to maintain a suit for breach of contract, personal injuries, property damage, or any other relief in law or equity in connection with this Contract.

All services shall be solely for the City’s informational purposes and internal use, and this contract creates no privity between Contractor and any person or party other than the City (“third party”). None of Contractor’s services are intended for the express or implied benefit of any third party, and no third party is entitled to rely on the services Contractor provides to the City. Notwithstanding the foregoing, the Statement of Work attached as Exhibit B contemplates financial statement auditing services to be provided to Prosper Portland and Mt. Hood Cable Regulatory Commission, which are separate entities from the City, but whose information will be included in the City’s financial statement audit under the City’s auditing authority related to these two entities. Services to be provided directly to Prosper Portland and Mt. Hood Cable Regulatory Commission will be the subject of separate engagement agreements. Nothing in this Section 5.7, is intended to limit Prosper Portland’s or Mt. Hood Cable Regulatory Commission’s access to financial audit reports related to their independent financial statements.
