Non-Competition and Employment Agreements. Each of the members of the Senior Management Team shall have executed and delivered to Parent, Company, and/or Merger Sub a Non-Competition and Employment Agreement.

The Retek Shareholders shall also execute and deliver to HNC the Non-Competition Agreement in the form of Exhibit 9.9B at the Closing. Retek shall use its best efforts to cause John X. Xxxxxxxx, xx execute and deliver to HNC at the Closing an Employment Agreement in the form attached hereto as Exhibit 9.10 (the "EMPLOYMENT AGREEMENT").
Non-Competition and Employment Agreements. In consideration of a portion of the Purchase Price and the payments separately provided in the Non-Competition and Employment Agreements, including the incentive compensation, Seller shall cause Stepxxx Xxxxxxxx, Xxff Xxxxx, xxd Briax Xxxxxxx xx each deliver to Buyer Non-Competition and Employment Agreements at Closing, in substantially the form set forth in Appendix 4. Advanced shall also agree to not compete with Buyer for five (5) years and within five hundred (500) miles of any of Buyer's locations. The parties acknowledge and agree that the value of the assets purchased hereunder is enhanced by such Non-Competition and Employment Agreements, and that delivery of same is an integral part of this Agreement.
