Non-Deadlock Matters. A Member may not declare a Deadlock (i) for failure to achieve a quorum at a duly convened Board of Managers meeting if such failure results from the failure of such Member’s designated Managers to attend such meeting or if such failure results from the fact that such Member’s designated Managers have refrained from voting either for or against the relevant matter;
Non-Deadlock Matters. A Member may not declare a Deadlock (i) for failure to achieve a quorum at a duly convened Board of Managers meeting if such failure results from the failure of such Member's designated Managers to attend such meeting or if such failure results from the fact that such Member's designated Managers have refrained from voting either for or against the relevant matter; (ii) for failure to achieve approval for a Member Approval Matter if such failure results from the fact that such Member has refrained from voting either for or against the relevant matter; (iii) by virtue of its disapproval of any proposal by the other Member unless such disapproval of such proposal is made in good faith; or (iv) in respect of any proposal it has made unless such proposal is delivered in good faith.
