NON-RECRUITMENT COVENANT. During the Executive’s employment with the Company or an Affiliate and for a period of one (1) year following the date of the Executive’s Separation from Service, the Executive will not, either as a principal, agent, employee, employer, consultant, co-partner or otherwise, or in any other individual or representative capacity, directly or indirectly offer employment to or hire any employee of the Company or any Affiliate who was employed by the Company or any Affiliate at the time of Executive’s Separation from Service or within six (6) months prior to such Separation from Service, or solicit, or cause to be solicited or recruited, any such employee of the Company or any Affiliate for the purpose of having such employee terminate his or her employment with the Company or any Affiliate.
NON-RECRUITMENT COVENANT. During the Restricted Period, the Grantee will not, directly or indirectly, for the Grantee or on behalf of any other Person, solicit, induce, persuade, or encourage, or attempt to solicit, induce, persuade, or encourage, any management-level employee of the Company or the Company's business unit in which the Grantee was employed (if applicable) to terminate such employee's position with the Company, whether or not such employee is a full-time or temporary employee of the Company and whether or not such employment is pursuant to a written agreement, for a determined period, or at will.
NON-RECRUITMENT COVENANT. During the Restricted Period, the Executive will not, directly or indirectly, for himself or on behalf of any other Person, solicit, induce, persuade, or encourage, or attempt to solicit, induce, persuade, or encourage, any employee of Acuity or ASP or ASP’s business to terminate such employee’s position with Acuity or ASP, whether or not such employee is a full-time or temporary employee of Acuity or ASP and whether or not such employment is pursuant to a written agreement, for a determined period or at will.

The Grantee agrees that, during the Restricted Period, the Grantee will not, directly or indirectly, for himself or on behalf of any other Person, solicit, induce, persuade, or encourage, or attempt to solicit, induce, persuade, or encourage, any employee of the Company to terminate such employee’s position with the Company, whether or not such employee is a full-time or temporary employee of the Company and whether or not such employment is pursuant to a written agreement, for a determined period or at will. The provision of this paragraph shall only apply to those persons employed by the Company at the time of solicitation or attempted solicitation.

During the Executive’s employment with the Company or an Affiliate and for a period of one (1) year following the Termination Date, the Executive will not, either as a principal, agent, employee, employer, consultant, co-partner or otherwise, or in any other individual or representative capacity, directly or indirectly, offer employment to or hire any employee of the Company or any Affiliate who was employed by the Company or any Affiliate at the Termination Date or within six (6) months prior to the Termination Date, or solicit, or cause to be solicited or recruited, any such employee of the Company or any Affiliate for the purpose of having such employee terminate his or her employment with the Company or any Affiliate.
NON-RECRUITMENT COVENANT. The Grantee agrees that, during the Restricted Period, the Grantee shall not, directly or indirectly, whether on behalf of the Grantee or others, solicit, lure or attempt to solicit or lure away from employment by the Company any person employed by the Company. The provision of this paragraph shall only apply to those persons employed by the Company at the time of solicitation or attempted solicitation.
NON-RECRUITMENT COVENANT. During the Restricted Period, the Executive will not, directly or indirectly, for himself or on behalf of any other Person, solicit, induce, persuade, or encourage, or attempt to solicit, induce, persuade, or encourage, any management-level employee of the Company or the Company’s business unit in which the Executive was employed (if applicable) to terminate such employee’s position with the Company, whether or not such employee is a full-time or temporary employee of the Company and whether or not such employment is pursuant to a written agreement, for a determined period or at will.
NON-RECRUITMENT COVENANT. Neither Party, during this Agreement and for a period of two (2) years immediately following, shall either directly and/or indirectly, recruit any of the other Party's employees. Any employees whom apply to any position which is open to the public shall not be considered a vio,lation herein-unless it is directed to a specific individual and/or group of individuals of the Party.
NON-RECRUITMENT COVENANT. The Executive agrees that, during the Term and for the Post-Employment Restricted Period, the Executive shall not, directly or indirectly, solicit or attempt to solicit any employee of the Employer or any of its affiliates for the purpose of encouraging, enticing, or causing said employee to terminate employment with the Employer or any of its affiliates. The Executive agrees that, during the Term and for the Post-Employment Restricted Period, the Executive shall not, directly or indirectly, hire or retain the services of any person who is, or was last, employed by the Employer or any of its affiliates.
NON-RECRUITMENT COVENANT. During the Restriction Period, the Executive will not, either as a principal, agent, employee, employer, consultant, co-partner or otherwise, or in any other individual or representative capacity, directly or indirectly solicit, or cause to be solicited or recruited, any employee of the Company or any Affiliate for the purpose of having such employee terminate their employment with the Company or any Affiliate.
