Nonsolication. Client and HFI agree that for a period of twelve (12) months after the date of termination or cessation of this Agreement, neither party will solicit nor attempt to solicit any employee or consultant of the other party, or hire, engage, or otherwise employ any such person, even if such person initiates the request for such employment or engagement.

Nonsolication. During the period beginning on the Effective Date and ending upon the expiration of the Restrictive Period, Executive shall not directly or indirectly without the express written approval of the Board, solicit any customer, or any person or entity who is reasonably expected to become a customer of the Company or any of its Affiliates for any commercial pursuit which is a Competitive Business. During the period beginning on the Effective Date and ending upon the expiration of the Restrictive Period, Executive shall not directly or indirectly solicit or induce, or attempt to induce, any employees, agents, or consultants of the Company or its Affiliates to leave the employ of the Company or its Affiliates or to do anything from which Executive is restricted by reason of this Agreement, nor shall Executive, directly or indirectly, offer or aid others to offer employment to or interfere or attempt to interfere with any employees, agents or consultants of the Company or its Affiliates.

Nonsolication. Canvass, contact, solicit or accept any business from any Active Customer of the Company for the purpose of providing services or products substantially similar to the services or products of the Company. As used herein, the term "Active Customer" shall mean a customer of the Company which had material business contact or transacted business with the Company at any time during the one-year period prior to the termination of the Executive's employment with the Company.

  • NONSOLICITATION; NONINTERFERENCE During the Executive’s employment with the Company and for a period of one (1) year thereafter, the Executive agrees that the Executive shall not, except in the furtherance of the Executive’s duties hereunder, directly or indirectly, individually or on behalf of any other person, firm, corporation or other entity, (i) solicit, aid or induce any customer of the Company or an Affiliate to purchase goods or services then sold by the Company or any Affiliate from another person, firm, corporation or other entity or assist or aid any other persons or entity in identifying or soliciting any such customer, (ii) solicit, aid or induce any employee, representative or agent of the Company or any Affiliate to leave such employment or retention or, in the case of employees, to accept employment with or render services to or with any other person, firm, corporation or other entity unaffiliated with the Company or any Affiliate, or hire or retain any such employee, or take any action to materially assist or aid any other person, firm, corporation or other entity in identifying, hiring or soliciting any such employee, or (iii) interfere, or aid or induce any other person or entity in interfering, with the relationship between the Company or any Affiliate and any of their respective vendors, joint venturers or licensors. An employee, representative or agent shall be deemed covered by this Section 11(c) while so employed or retained and for a period of six (6) months thereafter. Notwithstanding the foregoing, the provisions of this Section 11(c) shall not be violated by general advertising or solicitation not specifically targeted at Company or Affiliate-related individuals or entities.

For purposes of this Agreement, the term “Solicit” means any direct or indirect communication of any kind whatsoever, regardless of by whom initiated, inviting, advising, persuading, encouraging or requesting any person or entity, in any manner, to take or refrain from taking any action, and the term “Client” means any client or prospective client of the Firm, whether or not the Firm has been engaged by such Client pursuant to a written agreement; provided that an entity which is not a client of the Firm shall be considered a “prospective client” for purposes of this sentence only if the Firm made a presentation or written proposal to such entity during the 12-month period preceding the Date of Termination or was preparing to make such a presentation or proposal at the time of the Date of Termination.

  • Nonsolicitation of Employees While employed by the Company and for a period of six (6) months thereafter, Executive shall not directly or indirectly, for himself or for any other person, firm, corporation, partnership, association or other entity, attempt to employ or enter into any contractual arrangement with any employee or former employee of the Company, unless such employee or former employee has not been employed by the Company for a period in excess of six months.

  • Noncompetition Nonsolicitation and Nondisparagement The Executive acknowledges and agrees with the Company that, during the course of the Executive's employment with the Company, the Executive has had and will continue to have the opportunity to develop relationships with existing employees, customers and other business associates of the Company, which relationships constitute goodwill of the Company, and the Executive acknowledges and agrees that the Company would be irreparably damaged if the Executive were to take actions that would damage or misappropriate such goodwill.
