Common use of NOTICE AND SETTLEMENT ADMINISTRATION Clause in Contracts

NOTICE AND SETTLEMENT ADMINISTRATION. As part of the Preliminary Approval Order, Plaintiffs shall seek appointment of a Claims Administrator. The Claims Administrator, subject to such supervision and direction of Lead Counsel and the Court as may be necessary or as circumstances may require, shall administer the Settlement, including but not limited to the process of receiving, reviewing and approving or denying Claims, under Lead Counsel’s supervision and subject to the jurisdiction of the Court. Other than ZBH’s obligation to provide its securities holders’ records as provided in ¶ 20 below, none of the Defendants, nor any other Defendants’ Releasees shall have any involvement in or any responsibility, authority or liability whatsoever for the selection of the Claims Administrator, the Plan of Allocation, the administration of the Settlement, the Claims process, or disbursement of the Net Settlement Fund, and shall have no liability whatsoever to any person or entity, including, but not limited to, Plaintiffs, any other Settlement Class Members or Lead Counsel in connection with the foregoing. Defendants’ Counsel shall cooperate in the administration of the Settlement to the extent reasonably necessary to effectuate its terms.

Other than ZBHApyx’s obligation to provide (through its securities holders’ records transfer agent) its list of shareholders of record during the Settlement Class Period, as provided in ¶ 20 ¶23 below, none of the Defendants, nor any other Defendants’ Releasees Releasees, shall have any involvement in or any responsibility, authority or liability whatsoever for the selection of the Claims Administrator, the Plan of Allocation, the administration of the Settlement, the Claims process, or disbursement of the Net Settlement Fund, and shall have no liability whatsoever to any person or entity, including, but not limited to, Plaintiffs, any other Settlement Class Members or Lead Counsel in connection with the foregoing. Defendants’ Counsel shall cooperate in the administration of the Settlement to the extent reasonably necessary to effectuate its terms.

Other than ZBH’s 2U's obligation to provide its securities holders’ Lead Counsel or the Claims Administrator with 2U's common stock records as provided in ¶ 20 26 below, none of the Defendants, nor any of the other Defendants’ Releasees ' Releasees, shall have any involvement in or any responsibility, authority or liability whatsoever for the selection of the Claims Administrator, the Plan of Allocation, the administration of the Settlement, the Claims process, or disbursement of the Net Settlement Fund, and shall have no liability whatsoever to any person or entity, including, but not limited to, Plaintiffs, any other Settlement Class Members Members, the Claims Administrator or Lead Plaintiffs' Counsel in connection with the foregoing. Defendants’ ' Counsel shall cooperate in the administration of the Settlement to the extent reasonably necessary to effectuate its terms.
