Notice of Commencement Date. Landlord may send Tenant notice of the --------------------------- occurrence of the Commencement Date in the form of the attached Exhibit "C", which notice Tenant shall acknowledge by executing a copy of the notice and returning it to Landlord. If Tenant fails to sign and return the notice to Landlord within ten (10) days of receipt of the notice from Landlord, the notice as sent by Landlord shall be deemed to have correctly set forth the Commencement Date. Failure of Landlord to send such notice shall have no effect on the Commencement Date.
Notice of Commencement Date. Landlord shall use good faith efforts to inform Tenant of the estimated date of substantial completion at least five (5) days prior to such date. Upon ascertaining the date of substantial completion and the Commencement Date, Landlord shall deliver to Tenant a written confirmation in the form attached hereto as Exhibit F ("Lease Confirmation") of said dates of substantial completion and the Commencement Date. The Lease Confirmation shall be binding upon Tenant unless Tenant objects to the notice in writing delivered to Landlord within five (5) days of Tenant's receipt of said Lease Confirmation.

Upon ascertaining the Commencement Date, Landlord shall deliver to Tenant a written confirmation of the Commencement Date, in the form attached hereto as Exhibit D (the "Notice of Commencement"). The Notice of Commencement shall be binding upon Tenant unless Tenant objects thereto in a writing delivered to Landlord within five (5) business days of Tenant's receipt of the Notice of Commencement. However, Landlord's failure to send the Notice of Commencement shall not delay the commencement of or any of Tenant's obligations under this Lease if Tenant takes possession or beneficial occupancy of the Premises with Landlord's written consent prior to the Commencement Date set forth in the Notice of Commencement.

Landlord or Tenant may send the other party notice of the occurrence of the Commencement Date with respect to each Building in the form of the attached Exhibit “C”, which notice the receiving party shall acknowledge by executing a copy of the notice and returning it to the sending party. If the receiving party disputes the accuracy of the information contained in the notice, and the parties are unable to mutually agree as to the Commencement Date, either party may submit the dispute to arbitration pursuant to General Condition G.

If Lessor is unable to deliver possession of the Premises to Lessee on the Commencement Date, then Lessor shall send Lessee notice of the occurrence of the Commencement Date in the form of the attached Exhibit "B," which notice Lessee shall acknowledge by executing a copy of the notice and returning it to Lessor. If Lessee fails to sign and return the notice to Lessor within ten (10) days of receipt of the notice from Lessor, the notice as sent by Lessor shall be deemed to have correctly set forth the Commencement Date, absent manifest error. Failure of Lessor to send such notice shall have no effect on the Commencement Date.

Notice of Commencement Date. No later than the Commencement Date, the Company shall give notice of the event triggering the Commencement Date and the applicable Exercise Price.
