Common use of Notice of Events Clause in Contracts

Notice of Events. As soon as Guarantor obtains knowledge thereof, Guarantor shall give Guarantied Party written notice of any condition or event which has resulted in (a) a material adverse change in the financial condition of Guarantor or Company or (b) any Event of Default or Potential Event of Default.

As soon as Guarantor obtains knowledge thereof, Guarantor shall give Guarantied Party Noteholders written notice of any condition or event which has resulted in (a) an event, development or change with respect to Guarantor, Company or any material Subsidiary thereof that has resulted or could reasonably be expected to result in a material adverse change in the financial condition of Guarantor or Company Material Adverse Effect or (b) a breach of or noncompliance with any Event of Default term, condition or Potential Event of Defaultcovenant contained herein or in any Note Document.
