Common use of Notice of Events Clause in Contracts

Notice of Events. As soon as Guarantor obtains knowledge ---------------- thereof, Guarantor shall give Representative written notice of any condition or event which has resulted in (a) a material adverse change in the financial condition of Guarantor or Company or (b) a breach of or noncompliance with any term, condition or covenant contained herein or in the Note Purchase Agreement, any other Basic Document or any other document delivered pursuant hereto or thereto.

Notice of Events. As soon as the Guarantor obtains knowledge ---------------- thereof, the Guarantor shall give Representative the Agent immediate written notice of any condition or event which has resulted in (a) a material adverse change in the financial condition of Guarantor the Guarantor, Crown Media or Company or (b) a breach of or noncompliance with any term, condition or covenant contained herein or in herein, the Note Purchase Credit Agreement, any other Basic Document or any other document delivered pursuant hereto or thereto.

As soon as Guarantor obtains knowledge ---------------- thereof, Guarantor shall will give Representative Beneficiary written notice of any condition or event which that has resulted in (a) a material adverse change in the financial condition of Guarantor or Company Debtor or (b) a breach of or noncompliance with any term, condition or covenant contained herein or in any of the Note Purchase Agreement, any other Basic Document Loan Documents or any other document delivered pursuant hereto or thereto.
