Notice to Exercise ROFR is Not Delivered. If no Member or the Authority elect to purchase the Offering Member’s capacity in accordance with the provisions of this Article XIII, the Selling Member may sell its offered capacity in the Water Treatment Facilities to a third-party upon such terms and conditions as the Selling Member and the third-party agree; provided, the third-party enters into an agreement acceptable to the Authority and the Members concerning the third-party’s use of the purchased capacity.

  • NOTICE REQUIRED TO EXERCISE OPTION To exercise the Option to Purchase, the Buyer/ Tenant must deliver to the Seller/Landlord written notice of Buyer/Tenant’s intent to purchase. In addition, the written notice must specify a valid closing date. The closing date must occur before the original expiration date of the Lease Agreement, or the date of the expiration of the Option to Purchase Agreement designated in paragraph 1, whichever occurs later.
