Notice to RUS; Objection of RUS. Before undertaking any transaction described in Article VI that requires compliance with the requirements of this Section 9.1, the Borrower shall give to the RUS (i) notice in writing describing in reasonable detail the proposed transaction and expressly stating that the transaction is covered by this Section 9.1 and (ii) drafts of all material documents to effect such transaction. If the RUS delivers to the Borrower written notice that it objects to the proposed transaction within (I) 60 days (or such shorter period as the parties shall agree to in writing) in the case of any transaction of the nature described in paragraph (a) below, or (II) 30 days (or such shorter period as the parties shall agree to in writing) in the case of any transaction of the nature described in paragraph (b) below, the Borrower shall not complete the transaction without RUS approval.

Notice to RUS; Objection of RUS. Before undertaking any transaction described in Sections 5.15(e)-(f) or 6.12, the Borrower shall give to the RUS: (i) notice in writing describing in reasonable detail the proposed transaction and clearly stating that this transaction is covered by this Section 10.2 and (ii) drafts of any documents to effect such transaction. If the RUS delivers to the Borrower written notice that it objects to the proposed transaction within sixty (60) days, the Borrower shall not complete the transaction without RUS approval. If the RUS does not deliver to the Borrower an objection within that time, the Borrower may proceed with the action as if RUS had approved the action.

  • Notice to NYSE Parent shall, to the extent possible, give the NYSE not less than ten (10) days’ advance notice of the Record Date in compliance with Rule 10b-17 under the Exchange Act.
