Notices of Violations. During the period commencing on the Agreement Date and ending on the Closing Date, in the event that Seller receives any notice from any County, or any other governmental or quasi-governmental authority having jurisdiction over any of the Real Estate Assets, of a violation or alleged violation of any statute, law, ordinance, rule, permit, regulation or agreement governing the planning, development, construction, occupancy, use or maintenance of any portion of any of the Real Estate Assets, or of any permit, approval or authorization issued in connection therewith or of any contemplated or pending investigation with respect thereto, Seller promptly will deliver a copy of such notice to Buyer; and Buyer will have the option (but will not be required) either to (a) participate with Seller in responding to such notice or (b) seek independently to intervene in any proceeding of which notice has been given for the purpose of protecting Buyer's interests in and with respect to any of the Real Estate Assets.

Notices of Violations. To Seller's knowledge, within the two hundred seventy (270)-day period prior to the Effective Date, Seller has not received a notice of any material violations, or of any notices, suits, investigations or judgments relating to any material violations, of any laws, ordinances or regulations affecting the Property. If Seller receives any such notice after the Effective Date, Seller will promptly deliver a copy of such notice to Purchaser.

Notices (i) of violations of any governmental law or regulation or any covenants or restrictions encumbering the Property or any physical defect in the Improvements, or (ii) from any insurance company or underwriter of any defect that would adversely affect the insurability of the Property or cause an increase in insurance premiums; and

On July 8, 2022, CPG served Guess, and the requisite public enforcement agencies eligible to initiate Proposition 65 actions on behalf of the People of the State of California, with documents entitled "60-Day Notice of Violation", Attorney General No. 2023-02603 (the "First Notice") that provided Guess and such public enforcers with notice that Guess was allegedly in violation of California Health & Safety Code section 25249.6 for failing to warn consumers and customers that the Subject Products exposed users in California to DEHP. To the best of the Parties' knowledge, no public enforcer has commenced or is diligently prosecuting the allegations set forth in the First Notice. On August 24, 2023, CPG served Guess, and the requisite public enforcement agencies eligible to initiate Proposition 65 actions on behalf of the People of the State of California, with documents entitled "60-Day Notice of Violation", Attorney General No. 2023-02661 (the "Second Notice")(collectively, with the First Notice, the “Notices”) that provided Guess and such public enforcers with notice that Guess was allegedly in violation of California Health & Safety Code section 25249.6 for failing to warn consumers and customers that the Subject Products exposed users in California to DINP. To the best of the Parties' knowledge, no public enforcer has commenced or is diligently prosecuting the allegations set forth in the Second Notice.
